Mondo TV executed with R2A Network a new license for the TV broadcast of Sissi and Dinofroz 2 on the public channel RTM in Malaysia

Rome, 16 December 2014: Mondo TV announced to have entered into a new license agreement with R2A Network SDN BHD, a Malaysian company with registered office in Kuala Lumpur, for the broadcasting in Malaysia on public free-to-air TV channel named RTM (Radio Televisyen Malaysia) of some Mondo TV’s new productions, among which in particular the sequel of Dinofroz, currently in co-production with Giochi Preziosi S.p.A., and the series Sissi the young Empress, currently in co-production with the company Il Sole di Carta.
 
The license grants broadcast rights on the licensed series up to 31 December 2018 in local language with dubbing on care and costs of the licensee.

PT Spectrum Film purchases the broadcasting rights on free-TV in Indonesia and Sri- Lanka of the series Atomicron and the sequel Dinofroz, co-produced with Giochi Preziosi


 
Rome, 15 December 2014: Mondo TV announced to have entered into a new license agreement with the company PT Spectrum Film, a company with registered office in Jakarta, for the broadcasting on free-to-air TV channels in Indonesia and Sri-Lanka of the new series co-produced by Mondo TV with Giochi Preziosi S.p.A., Atomicron and the second season of Dinofroz, which are currently under production.
 
The license shall have a five year duration and it grants broadcast rights for an unlimited number of runs.

Mondo TV executed a new liense agreement in the African market for the free-TV broadcast in Namibia


 
Mondo TV programs continue raising the interest in Africa through sales of both the classical and most recent products
 
Rome, 03 December 2014: Mondo TV announced to have entered into a new license agreement with the company Namibia Broadcsating Corporation, or NBC, the exclusive public broadcaster in Namibia, for the broadcasting in its territory of thirty two movie special of its classic library and a number of TV series also from the most recent library, some of which are currently under production. The new agreement provides for the right of transmission of the above programs on free-TV channels in Namibia for an unlimited number of runs in a period of three years.
 
This is the second license agreement with NBC after some years from the first deal. In connection with this new agreement, Matteo Corradi, CEO of Mondo TV, stated: “The African market is giving to our group important confirmations and satisfaction: the agreement with the Namibian public broadcaster is an example on how also the less constant clients also after years come back with interest to our programs. This is possible thanks to the quality of our programs and the credibility that Monod TV has built in the most recent years in this area.”

Golden TV starts the broadcasting in Taiwan of the two hours daily slot dedicated to Mondo TV’s animated programs


 
By the broadcast of the above first slot in Taiwan dedicated to European animation, Golden TV start the performance of the agreement announced on October 1, 2014, which also provides for the exploitation of the merchandising and related sectors
 
It is hereby recalled that the deal has a value around 1 million US dollars whose positive effects will affect Mondo TV’s accounts already in 2014 and more over in 2015
 
Rome, 01 December 2014: After two months from the execution of the output deal with Golden Throne Communication International Co., Ltd., having its head office in Taipei (Taiwan), announced on October 1, 2014, for the license and the broadcast of around 900 hours of animated series and 50 movies in the territory of Taiwan, Golden TV has informed to have started today the broadcasting of the above programs.
 
By virtue of the agreement, Golden TV intended to secure the broadcasting of a daily two-hours slot dedicated to Mondo TV programs, thus reserving the opportunity to become the first Taiwanese operator dedicating a programming time to animation coming from Europe.
 
It is recalled that the value of the agreement is around 1 million dollars, since Golden TV shall take care of the dubbing and subtitling of the library into Mandarin language of those programs supplied in English by Mondo TV and Mondo TV will have free access to the dubbed versions: Mondo TV wil be then allowed to exploit the dubbed programs in other Chinese-speaking territories. It is highlighted that the above value does not include the revenues deriving from the merchandising, which is expected of significant volume.

Mondo TV reaches a new preliminary understanding with D Medya for the broadcast Europe and Turkey of some of its programs on satellite platform in Turkish

Rome, 27 November 2014: Mondo TV informs to have reached a new preliminary understanding for with D Medya, a Turkish TV operator, for the broadcast in Europe and Turkey of around 270 half hours of TV series and eight special movies of its classic library in Turkish. The new understanding allows the broadcast on satellite platform of the above programs for 12 months period up to December 2015.
 
Since the license relates to programs of the classic library, the consideration has a high margin.

Mondo TV reaches a new preliminary understanding with Electron TV for the broadcast in Chad o Dinofroz and some further programs distributed by Mondo TV

Rome, 25 November 2014: Mondo TV informs to have reached a new preliminary understanding for the broadcast in Chad of several programs distributed by Mondo TV, among which the TV series Dinofroz, co-produced with Giochi Preziosi S.p.A.. The new understanding has been reached with Electron TV, a Chad based company operating TV channels in the same area, and includes the right to broadcast in Chad through free-TV channels the licensed programs in French.
 
The license will be granted for a period of 2 years starting from 1 march 2015 and includes titles of the classical and most recent library, both in the format of TV series and special movies for TV.

The new agreement grants the above license for a period of three years in the territories of the Middle East and Northern Africa in Arabic and English languages.

MONDO TV GROUP: Mondo TV Suisse S.A., of Mondo TV Group, executed a new binding preliminary co-production agreement with Blonde Pilot, a UK based Company with branch offices in Hong Kong, owner of the merchandising oriented property named Secret Wings


 
The agreement sets forth a participation by Blonde Pilot at 50% to production, and the sharing of revenues deriving from the exploitation of the series in all distribution channels
 
It’s the first of a number of international agreements expected in the next weeks as a further support to the group business plan 2015-2020 approved in May 2014
 
Rome, 20 November 2014: Mondo TV Suisse S.A., of Mondo TV Group, and Blonde Pilot Ltd, a UK based Company with branch offices in Hong Kong that owns and develops original characters and original artwork for the licensing and media sector, have reached a binding preliminary agreement for the co-production and distribution of a new 2D HD animated TV series based on the successful Secret Wings property.
 
The complete series will be composed of 26 episodes about 13 minutes each and is targeted for its debut at MipTV in Cannes on April 2015 for the launch of its distribution.
 
The agreement provides for the participation of the parties at 50% each to the production budget (which amounts to around USD 2 million) and to the revenues deriving from the distribution of the series and its related licensing and merchandising, with the sole exception of toy line revenues and non-TV series related publishing revenues for which Mondo TV will have a minority share. The parties will co-distribute the series and related derived products.

Rome, 17 November 2014: As it indirectly emerges from the filing models published pursuant to the applicable laws on Internal Dealing, Orlando Corradi, President of the Board of Directors and majority shareholder of Mondo TV, who following to the transfer to the Chinese partner Yin Wei at Capital Media of 10% of the capital shares of Mondo TV as announced on last 29th July, has recently increased his participation up to approximately 42% of the Company’s capital.
 
The new investment amounts to around Eur 1,2 million.

Rome, 17 November 2014: Following to the agreement announced on April 23 this year, Mondo TV – active in Italy and abroad in the production and distribution of "cartoons" for TV and theatres – informs to have executed an agreement with Nada Anime, the Taiwanese animation studio, already cooperating with Mondo TV on “Beast Keeper”, for the re-launch and completion of the animated TV Series titled “Partidei”, made of 52 episodes of 13 minutes each.br> 
As coproducer, Nada Anime will provide certain pre-production and animation services relating to the series.br> 
Further to the above services, Nada Anime will also manage the distribution of the series in Asia in general, with a specific focus on the Chinese market, whilst Mondo TV will distribute the series worldwide in the further territories.br>

Rome, 14 November 2014: The Board of Directors of Mondo TV S.p.A. – a company listed in the STAR segment of Borsa Italiana and holding company of a Group working in the production and distribution of cartoons for TV and the cinema – today approved the interim management statement of the Group as of 30 September 2014.
 
Consolidated results:
The production value (the sum of income and capitalisation of internally produced animated series) amounted to Euro 11,6 million compared with Euro 10,1 million in the same period of last year; this increase was attributable to the higher production volume of the Parent company and Mondo Tv France.
EBITDA amounted to Euro 4,2 million compared with Euro 3,8 million of the prior-year period, while EBIT totalled Euro 1,1 million in strong increase compared to the Euro 0,2 million in the same period of 2013.
Net profit amounted to Euro 0,5 million compared to a loss of Euro 0,1 million in the same period of 2013.
 
The Net Financial Position totalled Euro -3.6 million as at 30 September 2014 compared to Euro -3.6 million as at 31 December 2013.
 
Group equity amounted to approximately Euro 29 million.
 
Results of the Parent Company
As at 30 September 2014, the Parent Mondo TV S.p.A. recognised a production value of Euro 5,8 million (compared with Euro 5,3 million in the nine months of 2013) an EBITDA of Euro 2,0 million(1,9 in the nine months 2013) and a net profit of Euro 0,4 million (a loss of Euro 0.1 million in the nine months 2013).
 
Significant events occurred in the referenced quarter
On 18 July 2014, the subsidiary Mondo Tv France announced that ZDF Enterprises, a ZDF group company, will be the world distributor (with the exclusion of French speaking countries, Middle east, Russia and China) of the new “Marcus Level” program, that Mondo Tv France is producing with TF1 television. The agreement provides for a minimum guarantee, that will be paid by ZDFE in instalments following the production, for an amount equal to 8,5% of the production budget of the TV series. ZFDE will recoup the minimum guarantee with from distribution revenues. After the minimum guarantee recoupment, Mondo TV France will receive royalties of 70% of the sales of the TV series. The distribution agreement is valid for 7 years.
 
The 29 of July Yin Wei, majority shareholder of the company Capital Media, operating since 1997 in the entertainment industry in China, has acquired from Orlando Corradi a 10% participation into the capital of Mondo TV S.p.A.. The transaction took place at the blocks out of market at a price of Euros 1,80 per share. Capital Media is active, since its foundation, in the distribution of audio-visual programs in Asia, and in particular in China, playing a primary role in the sales to public channels and kid’s channels, and developed its business so to become a leader in the Asiatic market with a turnover in 2013 equal to RMB 120 million. This transaction was realized in order to trigger a new growth and valorisation phase of the group Mondo TV, through an increased interest towards the Asiatic market for consolidating its international positioning. The entering of the new shareholder at 10% without shareholders’ agreement, and the keeping by Orlando Corradi of a participation around 39% will guarantee the continuity of the future management of the group compared to the past, with a particular focus on the international growth and the creation of value for all shareholders of Mondo TV.
 
The new shareholder, whose background is of industrial nature, will actively cooperate with the managers of the group by bringing the expertise and know-how of a leading group in the Asiatic media market, aiming at giving new energies and experiences to the recent development and internationalisation strategy of Mondo TV group, in particular in the Chinese market. More in detail, Capital Media will actively support the distribution and exhibition of Mondo TV’s programs in China and in Asia, and will help in enlarging the third parties’ library distributed by Mondo TV worldwide giving support in the purchase of first class Chinese products. The new shareholder will also be of great support in the field of cartoons co- productions so to help in the creation of value also in this specific business sector. On 5 September Mondo TV and Giochi Preziosi S.p.A., leader in Italy and one of the world leaders in the toy industry, reached a preliminary agreement for the production of 26 new episodes of 26 minutes each for the 2D series “Dinofroz” as a sequel of the first series. Mondo TV will be responsible for the executive production of the sequel with the same production team of the first series: the cartoon, which had very good audience results, will be renewed in some parts for the launch of new products lines connected with the series. Like for the first series, Mondo TV will also be responsible of the TV and home video distribution of the series worldwide for a period of 10 years.
 
Mondo TV executed on 30 September 2014 a new output deal with Golden Throne Communication International Co., Ltd., having its head office in Taipei (Taiwan), for the license and the broadcast of around 900 hours of animated series and 50 movies in the territory of Taiwan. The agreement provides also for an option for Golden TV to acquire at the same economic conditions the further products which will be realized by Mondo TV. The value of the agreement is around 1 million dollars. Furthermore, Golden TV shall take care of the dubbing and subtitling of the library into Mandarin language of those programs supplied in English by Mondo TV. The latter will have free access to the dubbed versions: Mondo TV will be then allowed to exploit the dubbed programs in other Chinese-speaking territories. Eventually, after the recoupment of the initial value, Golden TV will pay to Mondo TV 50% of the advertising revenues that will be generated during the programing hours of Mondo TV’s library. The license has a 5 years term, and sets forth the right to broadcast the Mondo TV’s programs for an unlimited number of runs on the free-to-air channels operated by Golden TV, which has the intention to have a two-hours slot dedicated to Mondo TV programs: by this agreement, Golden TV intends to become the first Taiwanese operator reserving a programming time to animation coming from Europe. The window offered by the slot on Golden TV channels is an important platform for the launch of merchandise connected with the properties of Mondo TV starting from the second half of 2015 in the entire Taiwan island territory.
 
In the third quarter continued the international development of the group, especially in the emerging markets, Russia and Middle East.
 
Facts occurred after the closing of the referenced period and business outlook
On 10 October 2014, Mondo TV closed an agreement for the sale to different purchasers of its majority and control shareholding into Mondo Igel Media AG, the German company which was put into liquidation by the general shareholders’ meeting in January 2013. The sale is part of the strategy of the cost reduction and focus towards the emerging markets, China and the United States. The sale of the shares if MIM, which is no longer a strategic asset for the group, allows Mondo TV to obtain a saving of the costs connected with the completion of the liquidation procedure.
 
The nine months results are as expected from the management; compared with the same period 2013 is very strong the margin increase at EBIT level caused by the cost reduction and lower amortisation.

Rome, 5 November 2014: Mondo TV informs that Mondo TV France S.A. has announced to have entered into an agreement with Buena Vista International, Inc. and Disney Television (France) for the purchase by the latters of a license for pay-tv rights on the brand new series Marcus Level, currently on production by Mondo TV France.

Mondo TV executed a new wide agreement in Nigeria for the broadcast of 350 hours of programs by Consolidated Media Associates

Rome, 31 October 2014: Mondo TV informs that a new wide agreement was executed in Nigeria for the broadcast of 350 hours of programs, which include both some recent programs of Mondo TV’s library, and programs acquired by Mondo TV for their distribution. The new agreement was executed with the company Consolidated Media Associates Limited, leading TV group which operates a variety of TV platforms in Nigeria and Africa, among which the entertainment dedicated channel “On TV”.

This initial project will be composed of 50 mini-epiosdes, and it will have an exploitation mainly through the web, starting from Spring 2015
 
Rome, 24 October 2014: Mondo TV Group, active in Italy and abroad in the production and distribution of "cartoons" for TV and cinema, and Grani & Partners S.p.A., a company of the Giochi Preziosi S.p.A., have announced that Mondo TV will be engaged in the production of 50 mini-episodes of a new animated TV series, based on the characters named “Stikeez”, the new invention by Grani & Partners which has already a great success among the public.
 
This initial project on the above property will be mainly exploited through the web, with the launch of the first episodes for the end of February 2015 and the completion within the following May.

Mondo TV executes a further license agreement in Asia for the new production “Sissi, the young Empress” currently still under development

Rome, 21 October 2014: Mondo TV informs to have executed with HT Pictures Ltd, a Vietnamese company based in Hanoi, a new license agreement on the TV Series “Sissi, the young Empress” which is currently still under development.
 
The agreement sets forth a license to HT Pictures for the exploitation through TV channels (both free and pay) of the Series for a period of three years in the territory of Vietnam.
 
This is the first agreement executed in the days immediately after the MIPCOM 2014, the sector fair to which Mondo TV participates every year, and during which the company has registered a significant interest by buyers on this new project.

Mondo TV sells its majority stake into MIM, already in liquidiation and no longer strategic for the group, with an accounting profit


The sale is part of the strategy of for the internationalization and the focus of the group towards the emerging markets, China and United States
 
Rome, 10 October 2014: Mondo TV S.p.A. announced to have closed an agreement for the sale to different purchasers of its majority and control shareholding into Mondo Igel Media AG, the German company which was put into liquidation by the general shareholders’ meeting in January 2013. The sale shall be completed by next week.
 
The sale is part of the well known internazionalization strategy of the Group, which started in the last years and which was accelerated in 2014 with a particular focus towards the emerging markets, China and the United States.
 
The sale of the shares if MIM, which is no longer a strategic asset for the group, allows Mondo TV to obtain a saving of the costs connected with the completion of the liquidation procedure, and an accounting benefit due to a profit of approximately 0,1 million euros.

MONDO TV will distribute in Middle East a selected number of programs belonging to the back-end-library of Studio 100 Media, the German independent producer and distributor of content for kids

Rome/Munich, 10 October 2014:Mondo TV S.p.A. announced to have executed a new representation agreement for a selected Studio 100 content to be distributed in the Middle East for a period of 3 years via selected channels.
 
By this new agreement Mondo TV is granted the distribution-rights of both animated and live action products, among which there are cult programs like the classic animated TV series Maya The Bee and Heidi, and live action TV series like Pippi Longstocking, together with some more recent successful programs. The cooperation covers the exploitation-segments TV (Free and Pay) and Home Video (DVD and VOD).

Mondo TV together with Giochi Preziosi for the production of an animated TV series on the toy property Atomicron, the recent new creation of Giochi Preziosi already a success among the public


This preliminary agreement provides that the series shall be realized in 3D CGI and shall have as object the existing toy lines and those to be launched in the future
 
Rome, 6 October 2014: Mondo TV Group, active in Italy and abroad in the production and distribution of "cartoons" for TV and cinema, and Giochi Preziosi S.p.A., leader in Italy and one of the world leaders in the toy industry, announced today to have reached a preliminary agreement for the production of 52 episodes of 13 minutes each for a new TV series based on “Atomicron”, the last creation by Giochi Preziosi, which is already having a great success among the public in the toy sector.
 
Mondo TV will be responsible for the executive production of the series: the cartoon will tell the story of the Fanta-world of the Atomicron, focusing on the characters of the existing toy line already distributed among the public, and on those characters of the new toy lines which will be launched in the near future.
 
The series will be presented by Mondo TV and Giochi Preziosi at the next licensing fair in London, from 7 to 9 October, and during the next edition of MIPJUNIOR nad MIPCOM, the Cannes audiovisual fair, from 11 to 16 October.
 
Like for other series produced with Giochi Preziosi, Mondo TV will also be responsible of the TV and home video distribution of the series worldwide for a period of 10 years.

Golden TV Group, leading TV operator in Taiwan, acquires around 900 hours of TV series and 50 movies of the Mondo TV library

The deal, whose value is around 1 million dollars, wil have a positive effect for Mondo TV accounts starting from 2014
The agreement also sets the basis for an important merchandise launch in Taiwan
Rome, 1 October 2014: Mondo TV S.p.A. announced to have executed a new output deal with Golden Throne Communication International Co., Ltd., having its head office in Taipei (Taiwan), for the license and the broadcast of around 900 hours of animated series and 50 movies in the territory of Taiwan. The agreement provides also for an option for Golden TV to acquire at the same economic conditions the further products which will be realized by Mondo TV.
 
The value of the agreement is around 1 million dollars. Furthermore, Golden TV shall take care of the dubbing and subtitling of the library into Mandarin language of those programs supplied in English by Mondo TV. The latter will have free access to the dubbed versions: Mondo TV wil be then allowed to exploit the dubbed programs in other Chinese-speaking territories.
 
Eventually, after the recoupment of the initial value, Golden TV will pay to Mondo TV 50% of the advertising revenues that will be generated during the programing hours of Mondo TV’s library.
 
The license has a 5 years term, and sets forth the right to broadcast the Mondo TV’s programs for an unlimited number of runs on the free-to-air channels operated by Golden TV, which has the intention to have a two-hours slot dedicated to Mondo TV programs: by this agreement, Golden TV intends to become the first Taiwanese operator reserving a programming time to animateion coming from Europe.
 
The window offered by the slot on Golden TV channels is an important platform for the launch of merchandise connected with the properties of Mondo TV starting from the second half of 2015 in the entire Taiwan island territory.
 
Founded in 2000, the Golden Group is the biggest channel operator in Taiwan. As a high quality media widely recognized by Taiwan users, the Golden TV has 16 channels like “Golden Play”and “Golden Variety”. In recent years, it has developed industries in a wide range and diversity, involving media, artist management, real estate, technology, art and literature, entertainment and e-commerce.

The Gormiti, protagonists of the 3D CGI series co-produced with Giochi Preziosi, wil be on air in Greece on Nickelodeon


Mondo TV informs to have executed with the company Telekinisi Local TV S.A., which operates the Nickelodeon TV channels in Greece, an agreement for the TV broadcast of the series Gormiti, which was co-produced by Mondo TV with Giochi Preziosi on the basis of the homonymous property.
 
Under the license, whose duration shall be two years, Gormiti shall be broadcasted from a minimum of one to a maximum of six TV runs.

The agreement sets forth a non-exclusive license for the broadcast on Gulli TV channel of the Series for a period of five years in the territory of Russia.

Mondo TV executed a new agreement in Zambia for the broadcast of 390 half hours of programs by Zambia National Broadcasting Corporation


Mondo TV informs that, after the agreement with MUVI TV announced to the market on last September 1, a new agreement was executed in Zambia for the broadcast of 390 half hours of programming. The new agreement was executed with the company Zambia National Broadcasting Corporation, which operates the free-to-air TV channel named ZNBC Television.
 
The license is granted for a period of 2 years and authorizes the non-exclusive transmission in local language and English in Zambia.
 
Matteo Corradi stated: “We confirm our ability in entering into markets which are unusual for our competitors, showing the capacity of repeating our results within the declared internationalization strategy of our group.”

Mondo TV strengthens its patrimonial position through the sale to Orlando Corradi of shares equal to 5,08% of the capital of Mondo TV France at a price per share of Euros 0,14 (+17% approximately respect to yesterday’s last price)


Mondo TV keeps the control of Mondo TV France with a stake higher than 50% and confirms not to be intentioned to decrease further its participation
 
Rome, 23 September 2014: Mondo TV informs to have approved today a sale block transaction of shares of the controlled company Mondo TV France to the related party, Orlando Corradi, majority shareholder of Mondo TV S.p.A. and president of its board of directors. The transaction was approved today with the unanimity of board members attending to the meeting, to which Orlando Corradi did not participate.
 
The transaction, which will be completed along this week, consists in the sale of 5.369.000 shares, equal to 5,08% of the company’s capital of the controlled entity, at a price per share equal to Euros 0,14. Considering that the actual price of Mondo TV France shares is slightly lower than Euros 0,12, and the IPO price was 0,116, the consideration includes a premium for Mondo TV S.p.A. of approximately 17% of the market price, with a patrimonial strengthening of around Euros 700.000 respect to the per share booked value of the participation into Mondo TV France.
 
After this transaction, Mondo TV S.p.A. maintains in any case the full control of Mondo TV France, since it keeps a majority stake higher than 50% of the controlled company capital. No further sales are foreseen in the future, as the current management of Mondo TV is not intending to lose such majority. Orlando Corradi will have a participation around 17% of Mondo TV France’s company capital.
 
It is highlighted that the above transaction is below the thresholds set forth by section 71 of the Issuers Regulation, and by Exhibit 3 of the Consob regulation relating to transaction with related parties.

Mondo TV appointes as worldwide distributor of the first series based on the US successful property Suzy Zoo
Negotiations for a production agreement of a new series have been started with the company owner of the property


Rome, 8 September 2014: Mondo TV Group, active in Italy and abroad in the production and distribution of "cartoons" for TV and cinema, informs to have executed a distribution agreement relating to the first animated series based on the US successful property "Suzy Zoo".
 
The agreement entered into with the Californian company Suzy Zoo shall have a two years duration and provides for an exclusive distribution mandate to Mondo TV for the whole world with the exception of North America.
 
The execution of this agreement is accompanied by the start of negotiations for the production of a new animated series of Suzy Zoo by Mondo TV: the possible execution of such an agreement would follow after a few months the production agreement entered into with the US company Animagic Media Group announced on April 14, 2014.

The “DINOFROZ” double through the preliminary agreement with Giochi Preziosi for the production of a sequel of 26 new episodes of the first series


Rome, 5 September 2014: Mondo TV Group, active in Italy and abroad in the production and distribution of "cartoons" for TV and cinema, and Giochi Preziosi S.p.A., leader in Italy and one of the world leaders in the toy industry, announced today to have reached a preliminary agreement for the production of 26 new episodes of 26 minutes each for the 2D series “Dinofroz” as a sequel of the first series.
 
Mondo TV will be responsible for the executive production of the sequel with the same production team of the first series: the cartoon, which had very good audience results, will be renewed in some parts for the launch of new products lines connected with the series.
 
Like for the first series, Mondo TV will also be responsible of the TV and home video distribution of the series worldwide for a period of 10 years.

Rome, August 8, 2014 The Board of Directors of Mondo TV S.p.A. – holding company of a Group working in the production and distribution of cartoons for TV and the cinema – today approved the interim financial statement of the Group as of 30 June 2014.
 
Consolidated results for Mondo TV Group The value of production in the first semester 2014, given by the sum of consolidated revenues and capitalizations of series of cartoons produced internally, was EUR 9,0 million, 14% more compared with approximately EUR 7,9 million in the first semester 2013. The increase ismainly due to the production activities of the group which has acquired in the semester some important productions; furthermore, it has to be noted the progression by Mondo TV France in the production of the third season of Lulu Vroumette and Marcus Level for EUR 2,2 million.
 
Consolidated EBITDA passed from EUR 3,2 million in the first semester 2013 to EUR 3,5 with a total increase of around EUR 0,3 million: the increase of around 10% was due to the larger volume of productions acquired and worked in the period.
 
As an effect, EBIT - after amortizations, devaluation and reserves for EUR 2,7 million respect to EUR 3,1 million in the same period 2013 - came out positive for EUR 0,8 million respect to EUR 0,1 million in the first semester 2013.
 
In the referenced period, financial charges amounted to EUR 0,2 million, compared with EUR 0,24 million in the first semester 2013.
 
Net profit was positive for EUR 0,33 million, compared to the negative result for EUR 0,15 million in the first semester 2013.
 
The Group's Net Financial Position is equal to minus EUR 2,9 million, compared to minus EUR 3,6 million as of 31 December 2013, improving of EUR 0,7 million.
 
Results of the Parent Company
 
The parent company Mondo TV S.p.A. closed the first semester 2014 with a value of production of around EUR 4,2 million with an increase of 12%, compared to around EUR 3,8 million in the same period in 2013. Such result is the effect of the acquisition in the semester of important productions.
 
EBIT was approximately EUR 0,7 million, in increase compared to EUR 0,1 million in the first semester 2013.
 
Net financial charges were approximately EUR 0,2 million (EUR 0,2 million on 30 June 2013) Net income for the period was positive by EUR 0,27 million compared to the loss of EUR 0,15 million in the first semester 2013.
 
NFP passed from minus EUR 3,0 million on 31 December 2013 to EUR 1,9.
 
Business Outlook and related main risks
 
Pursuant to section 154-ter, 4th paragraph, of the Italian Consolidated Finance Act, the following main risks are reported:
 
· Key manager The competitiveness of the Group could be negatively affected in the event that the professional work by some members of the Corradi family and Eve Baron Charlton, Managing Director of Mondo TV France (whose revenues have a significant effect on the revenues of the Group): such events could result in negative effects on the economic and financial position of the Group.
Some members of the Corradi family play a key role for the business of the company and in respect to development of its products.
Eve Baron Charlton plays a key role in the management of Mondo TV France, thanks to her high skills and proved expertise in the business, deriving from her long lasting experience as director in national French TV broadcasters. Such experience gained in the TV sector, and her professional networking allowed and is allowing Mondo TV France to produce TV animated series with a highly educational content of high quality level. Such programs enrich the range of programs offered by Mondo TV Group.
No members of the Corradi family or Eve Baron are bound by non-competitive agreements or exclusivity clauses.
 
· Commercial exploitation of third parties IP rights The revenues of the Group may be subject to circumstances which are not depending on the Group companies and which can affect the availability and the commercial exploitation of third parties properties. Negative circumstances in this respect could cause the reduction of the income expectations with negative effects on the economic and financial position of the Company.
 
· Contentious matters Negative effects on the activity and/or economic and financial position of the Group could derive by a condemnation of Mondo TV in the trial against the companies RG Holding S.r.l. Unipersonale and Finanziaria Cinema S.r.l. Unipersonale (hereafter the “Claimants”). The Claimanst are acting against Mondo TV pursuant to section 2497 of the Italian Civil Code in their quality of former minority shareholders of the company Moviemax S.r.l., which was controlled by Mondo Home Entertainment which was subject to the control and direction of Mondo TV up to April 2009. Claimants are claiming for purported damages in a range between EUR 17 million and EUR around 30 million. Due to the fact that the risk of condemnation is considered only with degree “possible”, also based to the independent legal counsels who assist the company in the trial, no funds have been set aside for this claim. Furthermore, along the technical verification by an independent auditor, it is emerging that the damages that could be possible to be recovered would be a fraction of the counterparty’s claim.
 
· Tax position On 31 July 2014 through an inspection on financial years 2010, 2011 and 2012, and on the basis of a mere inductive method, without revealing substantial irregularities and based only on presumption, the Tax police has excepted higher direct and indirect taxes due for an amount of around EUR 3,6 million, which taking into account the fiscal losses, would result in an amount to be paid of around EUR 2.2 million, before interest and sanctions.

Rome, 29 June 2014: Today, Yin Wei, majority shareholder of the company Capital Media, operating since 1997 in the entertainment industry in China, has acquired from Orlando Corradi a 10% participation into the capital of Mondo TV S.p.A..
 
After the test, which shall take some months, theThe transaction took place at the blocks out of market at a price of Euros 1,80 per share.
 
Capital Media is active, since its foundation, in the distribution of audio-visual programs in Asia, and in particular in China, playing a primary role in the sales to public channels and kid's channels, and developed its business so to become a leader in the Asiatic market with a turnover in 2013 equal to RMB 120 million.
 
This transaction was realized in order to trigger a new growth and valorisation phase of the group Mondo TV, through an increased interest towards the Asiatic market for consolidating its international positioning. The entering of the new shareholder at 10% without shareholders' agreement, and the keeping by Orlando Corradi of a participation around 39% will guarantee the continuity of the future management of the group compared to the past, with a particular focus on the international growth and the creation of value for all shareholders of Mondo TV, whose shares have increased their stock value in the past 12 months for around 300%.
 
The new shareholder, whose background is of industrial nature, will actively cooperate with the managers of the group by bringing the expertise and know-how of a leading group in the Asiatic media market, aiming at giving new energies and experiences to the recent development and internationalisation strategy of Mondo TV group, in particular in the Chinese market. More in detail, Capital Media will actively support the distribution and exhibition of Mondo TV's programs in China and in Asia, and will help in enlarging the third parties' library distributed by Mondo TV worldwide giving support in the purchase of first class Chinese products. The new shareholder will also be of great support in the field of cartoons co-productions so to help in the creation of value also in this specific business sector.

Rome, 25 July 2014: Mondo TV informs to have executed with National Television Syndication, a Moscow based company which manages a network a nationwide of free and pay TV channels, a new agreement for the grant of a license for transmitting on the same network the animated TV series titled “Gladiators”, dedicated to the ancient Rome and co-produced by Mondo TV with RAI.
 
The license is granted for a period of 1 year on a non-exclusive basis for transmission on both free and pay TV channels.

The license is granted for a period of 2 years and authorizes the non-exclusive transmission in Portuguese in Mozambique.

Rome, 24 June 2014: Mondo TV informs to have executed a new agreement with Al Dafra Group FZ-LLC, a company based in Dubai (United Arab Emirates) for the grant of a license of free TV rights on products of the classic library of Mondo TV, and more in detail “The Legend of Zorro” and “Robin Hood”.
 
The license is granted for a period of 5 years on a non-exclusive basis and covers the territories of Middle East and Arabic speaking North Africa.
 
The exploitation of the rights on the less recent products is continued, especially in the emerging countries. The license fee, while lower than Euros 50.000, is all margin since the licensed series are no longer at cost from the balance as of 31.12.2013. Mondo TV executes a preliminary understanding for the exploitation worldwide of its products on Youtube with the aggregator Media Distribution Worldwide

Rome, 13 June 2014: Mondo TV informs to have executed with Media Distribution Worldwide Ltd., a company based in Coventry, United Kingdom, and important aggregator of content for their exploitation on the web platform “You Tube”, a preliminary understanding for the license to the latter of the exploitation rights on Mondo TV’s library program on You Tube. The license will elapse on 31 December 2017 and is granted for the whole world (only with some exceptions due to preceding licenses already granted to different aggregators).
 
According to the understandings, the aggregator will pay a significant minimum guarantee amount and afterwards will share 50% of the advertising revenues deriving from the exploitation of Mondo TV’s library.
 
“This is a very important agreement for Mondo TV”, stated Matteo Corradi, Managing Director of Mondo TV, “because it will allow a wide and structured exploitation of our rich library on You Tube with an important exposure of our products. Executed a further agreement in Russia for the exploitation of some Mondo TV programs on digital platform with Pladform LLC


Rome, 05 June 2014: After the recent agreement executed with San Media and announced to the market on June 3, 2014, Mondo TV informs to have executed with Pladform LLC, a company based in Moscow and operating in the field of exhibition of digital content through Internet, a new license agreement whereby licensee will start a 3-months test on the exhibition through Internet on a VOD platform of some animated programs belonging to Mondo TV’s library.
 
The non-exclusive license provides for the test to be run on the platform named pladfrom.ru and will cover the whole Russian territory. In the event of a positive outcome it is reasonable to expect the extension of the number of programs and the duration of the license.
 
The possibilities of exploitation of Mondo TV’s programs in Russia and on the new media are so confirmed.

Rome, 4 June 2014: Mondo TV S.p.A. informs that Turbo Labs, home video U.S. distributor, will launch from September 2014 a test for sale of DVD's containing some Mondo TV's library programs in some stores of the Walmart chain.
 
After the test, which shall take some months, the distribution may be extended to a larger number of stores of the same chain in whole U.S. territory with payment of royalties to Mondo TV.

Executed with San Media a license for the exhibition on VOD platform of around 340 hal hours of Mondo TV’s programs in Russia


Rome, 3 June 2014: Mondo TV informs to have executed with San Media, a company based in Moscow and operating in the field of exhibition of digital content through Internet, a new license agreement whereby San Media is authorised to exhibit through Internet on a VOD platform around 340 half hours of animated programs belonging to Mondo TV’s library.
 
The non-exclusive license, which will expire on August 2015, grants to San Media the right to exhibit the licensed Mondo TV’s programs in the territories of Russia and the CIS countries with a 50% share of revenues deriving from the exploitation of such programs.

Rome, 22 May 2014: Mondo TV informs to have executed with Guangdong Alpha Animation and Culture Co. Ltd, Chinese leader in the animation and toy industry (“Alpha”), the long form distribution agreement whereby Mondo TV is appointed as distributor in a number of countries across Europe, Middle East and Africa, of around 900 half hours of animated programs produced by Alpha on which this latter developed successful toy lines.
 
According to the agreement, Mondo TV will distribute all TV, Home Video, Internet, Mobile and VOD rights, together with the Licensing & Merchandising rights for a period of two years.
 
Guangdong Alpha Animation and Culture Co., Ltd. is one of the most competitive and potential group companies in animation industry of China and is listed as the Shenzhen stock market exchange with a market cap of more than 3 billion Euros: the former name of Alpha is Guangdong Auldey Toy Industry Co., Ltd. MONDO TV GROUP: the Board of Directors revised and increased the new business plan approved on March 25, 2014, on the basis of the most recent events which were not considered in the same plan


At the consolidated level
- Value of Production goes from around Euros 17,8 million in 2014 to around Euros 44,5 million in 2020, with a cumulated growth rate of around 150% in the period
- EBITDA goes from Euros 8 million in 2014 to around Euros 26,8 million in 2020, more than doubled respect to 2013, with a cumulated growth rate of around 235% in the period
- EBIT goes from Euros 1,8 million in 2014 (negative in 2013) to around Euros 16 million in 2020 with a cumulated growth rate in the period higher than 788%
- Net Financial Position gets already positive in the first three years period
 
The financial targets are increased without changing the new strategy (under which the return to profit was forecasted with dividend distribution already from 2014) thanks to a further internationalization of the group’s business
 
Rome, May 14, 2014: The Board of Directors of Mondo TV S.p.A. – a company listed in the STAR segment of Borsa Italiana and holding company of a Group working in the production and distribution of cartoons for TV and the cinema – , following to the recent agreements and events occurring in the period after the closing of the first quarter 2014, increased the economic-financial targets approved with the new business plan on March 25, 2014. The revision does not touch the strategic objectives and the related action plan of the group, already published through communication dated March 25, 2014.
 
ECONOMIC-FINANCIAL TARGETS
 
The period following the closing of the first quarter 2014 was characterized by a significant start-up of a number of new negotiations for new production projects, both with historical clients of the Group, as well as with new clients also coming from markets which are traditionally difficult for Mondo TV group. Such negotiations already carried to the closing of the first significant production agreement in the United States with the company Animagic Media Group. The agreement, which was announced to the market the first time on April 14, 2014, allowed Mondo TV to start new negotiations for further projects in the United States, not only with Animagic Media, but also with further operators: the executed agreement, like the newly started negotiations, were not contemplated in the economic-financial data included in the business plan approved on March 25, 2014. The new situation determined the Board of Directors to revise the economic-financial targets as follows:

The strategic objectives, and the related action plan, which are confirmed, brought to the agreements with the leading Chinese toy maker Alpha, and with Rai Cinema for the sale to the latter of the live teen show “Sueña conmigo”. On the other hand, it was necessary to consider the opportunities which are offered by the new agreement with Animagic Media Group, which we believe can be the starting point for a new development our business in the United States and in North America. The agreement is significant as it relates to a 3D production for a series of 26 half hours (or 52 episodes of 13’), but thanks to the contacts made, we could start the negotiation for further important projects with American possible partners. We can thus reasonably expect an improvement in the business and results of the group, thanks to such new contacts and the most recent negotiations”.

Rome, 14 May 2014: The Board of Directors of Mondo TV S.p.A. – a company listed in the STAR segment of Borsa Italiana and holding company of a Group working in the production and distribution of cartoons for TV and the cinema – today approved the interim management statement of the Group as of 31 March 2014.
 
Consolidated results for Mondo TV Group
 
The value of production, given by the sum of revenues and capitalizations of series of cartoons produced internally was around EUR 4 million compared with EUR 3,2 million for the corresponding period in 2013: the increase of 27% is mainly due to the larger productions carried out in the quarter.
 
The gross operating profit (EBITDA) was EUR 1,6 million compared to EUR 1,1 million in the corresponding 2013 period. EBIT came out at EUR 0,326 million compared to EUR 0,264 million for the corresponding period in 2013.
 
Net profit was positive for EUR 0,11 million respect to net profit of EUR 0,09 million in the first quarter 2013.
 
The Group's net financial position as of 31 March 2013 was equal to EUR 3,5 million, compared to EUR 3,6 million as of 31 December 2013, with an improvement of EUR 0,1 million.
 
Net asset of the Group was approximately EUR 26,3 million.
 
Results of the Parent Company
 
The parent company Mondo TV S.p.A. closed the referenced period with a value of production, given by the sum of revenues and capitalizations of series of cartoons produced internally, of EUR 1,9 million (compared to EUR 2 million in the same period in 2013). EBIT was positive for EUR 0,35 million (EUR 0,3 million in the first quarter 2013). Net income for the period was EUR 0,15 million (EUR 0,1 million in the first quarter 2013).
 
Significant events occurred in the referenced quarter
 
In the first quarter 2014 the group continued its activity focused on the production and sale of animated TV series revenues. The quarter was characterized by an increase of the value of the production thanks to the effects of the new company’s strategy consistent with the group’s business plan.
 
Business Outlook
 
After March 31, 2014, the holding company executed among others three important commercial agreements respectively with Alpha Animation, Animagic Media and Rai Cinema.
 
Agreement with Alpha Animation
 
In April 2014, Mondo TV informs executed with Guangdong Alpha Animation and Culture Co. Ltd, Chinese leader in the animation and toy industry (“Alpha”), a preliminary distribution agreement whereby Mondo TV is appointed as distributor in a number of countries across Europe, Middle East and Africa, of around 900 half hours of animated programs produced by Alpha on which this latter developed successful toy lines.
 
According to the agreement, Mondo TV will distribute all TV, Home Video, Internet, Mobile and VOD rights, together with the Licensing & Merchandising rights for a period of two years. Guangdong Alpha Animation and Culture Co., Ltd. is one of the most competitive and potential group companies in animation industry of China and is listed at the Shenzen stock market exchange with a market cap of more than 2.5 billion Euros.
 
Agreement with Animagic Media
 
Mondo TV and Animagic Media Group, a North American Entertainment Company that owns, develops, and produces animated intellectual properties, have reached an agreement for the co-production and distribution of a new 3D CGI animated TV series based on the successful Bug Rangers property.
 
The complete series will be composed of 26 episodes about 22 minutes each (or 52 of 11 minutes each) and is targeted for its debut at MipJunior in Cannes on October 2014 for the launch of its distribution.
 
The agreement provides for the participation of the parties at 50% each to the revenues deriving from the distribution of the series and its related licensing and merchandising, while Mondo TV will have a minority share on the revenues deriving from the toy line developed from the series. Mondo TV shall take care of the worldwide distribution of the series (except for North America) and shall distribute the licensing and merchandising in Southern Europe and Russia, while Lawless Entertainment will handle distribution of the series in North America as well as licensing and merchandising worldwide (except for Southern Europe and Russia).
 
Agreement with Rai Cinema
 
By the end of April 2014, Mondo TV S.p.A. executed with Rai Cinema a license agreement for the broadcast in Italy of the live teen program named “SUEÑA CON MIGO”. The series is composed by 120 episodes of 60 minutes each. The agreement provides for license period ending on 1 January 2018, and the programs shall be broadcast on Rai’s free TV channel “Rai Gulp” or on different non-generalist channels operated by RAI.
 
The company thus continues the development of this sector of its business, i.e. the acquisition and resale of the teen soap operas, which bought the company in the past to sell to RAI series like Grachi and Life with Boys.
 
It is estimated that direct and indirect revenues which shall be generated by the referenced license agreement may have a value of approximately 15% of the revenues of the parent company Mondo TV S.p.A. in 2014.
 
Declaration of the executive responsible for financial reporting
 
The executive responsible for corporate financial reporting, Carlo Marchetti, declares, pursuant to paragraph 2 of Article 154-bis of the Italian Consolidated Finance Act, that the information in this press release corresponds to the data in the accounting documents, records and books.
 
This interim management statement relating to the first quarter 2014 is filed at the Company’s registered office in Rome and with Borsa Italiana S.p.A., and is available for anybody requesting for it. It is also published on the website www.mondotv.it.
 
The synthetic tables of the results included in the Interim Management Statement as of 31 March 2014 approved by the Board of Directors are attached below. The referenced Interim Management Statement was not audited.

Mondo TV executes in the Arab Emirates a new TV license agreement with Al Jazeera Children Channel for Puppy in my Pocket


Rome, 09 May 2014: Mondo TV informs to have executed with Al Jazeera Children Channel a new non-exclusive license agreement for the TV broadcast of the series Puppy in my Pocket on the dedicated children channel named Baraem for a period of five years. Grace to the broadcast though the aforementioned channel, the series will be viewed in Arabic language in the whole Middle East and in North- African Arabic speaking countries.

MONDO TV GROUP: Signed the long form agreement with Animagic Media for the co-production of Bug Rangers


It is the first co-production in the U.S.A. with significant values which was not included in the business plan approved by the BoD of the Company at the end of March
 
Rome/Los Angeles, 7 May 2014 Following to the excution of the first agreement between Mondo TV and Animagic Media Group announced on the last April 14, 2014, for the co-production and distribution of a new 3D CGI animated TV series based on the successful Bug Rangers property, the two companies executed today in Los Angeles the so called long form agreement relating to the same production and defining the further technical specifics of the production of the new series.
 
By the execution of the so called long form agreement the production of the new series begins with the aim of presenting the same at MipJunior in Cannes on October 2014, while the whole series should be completed by the month of March 2016.
 
The long form agreement does not modify the economics of the agreement which was announced in April 2014 which provides for the participation of the parties at 50% each to the revenues deriving from the distribution of the series and its related licensing and merchandising, while Mondo TV will have a minority share on the revenues deriving from the toy line developed from the series. Mondo TV shall take care of the worldwide distribution of the series (except for North America) and shall distribute the licensing and merchandising in Southern Europe and Russia, while Lawless Entertainment will handle distribution of the series in North America as well as licensing and merchandising worldwide (except for Southern Europe and Russia).
 
It is the first co-production in the U.S.A. with significant value for the Group which was not included in the business plan approved by the BoD of the Company at the end of March.

The shareholders' meeting appointed the new Statutory Auditors


Rome, 29 April 2014: The shareholders' meeting of Mondo TV today appointed the new Statutory Auditors which will remain in charge up the shareholders' meeting called to resolve upon the approval of the financial statements for the financial year 2016. The appointed statutory auditors are the following ones:
1. Marcello Ferrari – President of the Statutory Auditors collegium;
2. Adele Barra – Statutory Auditor in charge;
3. Vittorio Romani - Statutory Auditor in charge;
4. Silvia Gregori – deputy Statutory Auditor;
5. Alberto Montuori - deputy Statutory Auditor.

The shareholders meeting of Mondo TV S.p.A. approved the financial statements and the consolidated financial statements for 2013


Rome, 29 April 2014: The shareholders’ meeting of Mondo TV S.p.A. – the parent company of the homonymous group operating in Europe in the production and distribution of cartoons for TV and cinema - today among others approved the financial statements for 2013, reviewed and expressed favorable opinion on the consolidated financial statements for 2013, expressed favorable opinion on the report on Remuneration.
 
At the parent company level, The value of production is 6,6 million Euros (10,2 million in 2012). EBITDA is 1,4 million Euros (3,4 million in 2012) and the net result of the period records a loss of 7,6 million Euros (against a net profit of 2,0 million in 2012). The shareholders meeting resolved to cover the losses of 2013 through the available reserves, in accordance with the board of directors proposal.
 
At the consolidated level, the value of production is 12,5 million Euros (16,0 million in 2012). EBITDA is 3,5 million Euros (4,4 million in 2012). The net result of the period records a loss of 7,1 million Euros (profit of 1,5 million in 2012).
 
The company also submitted to the consultancy vote of the shareholders’ meeting, which gave its favorable opinion, the Report on the Remuneration which was drafted in line with the current laws and regulation and sets forth the guidelines for the remuneration of executive directors and strategic managers.
 
The documents relating to the above decisions are available at the Company’s registered office and can be read on the Company’s website www.mondotv.it. Starting from April 30, 2013 the synthesis of votes is made available on the same website pursuant to section 125-quarter of Lgs. Decree Nr. 58/1998.
The minutes of the meeting will be made available within 30 days as of today in accordance with current legislation.

MONDO TV launches the TV Series Cat Leopold on the Russian market during the World Content Market, the audiovisual fair in Moscow


Furthermore it continues its expansion strategy towards new markets: the first license agreement for TV broadcast in Mongolia has been executed
 
Rome, 28 April 2014: Mondo TV – active in Italy and abroad in the production and distribution of "cartoons" for TV and theatres – is launching the TV Series Cat Leopold during the audiovisual fair in Moscow (the World Content Market).
 
This is the first official presentation in the Russian market of the series which is based on the Russian character “Cat Leopold”, as announced on 24 may 2012 for the start up of the co-production thereof: Cat Leopold is a classic of Russian animation, since it has always had a great and continuing success from the 70ies, and has great potential also in the licensing and merchandising sector.
 
The attendance to the World Content Market in Moscow and the launching of this new product should help the positioning of the Company in the whole former Soviet Union area, where Mondo TV already markets its products, as confirmed by the closing of the first agreement for the transmission on free TV of around 366 half hours of programs in Mongolia with Supervision Co. Ltd..

MONDO TV executed an agreement with Nada Anime, a Taiwan based animation studio, for the completion of the animated TV series Beast Keeper, co-produced with Ponpoko Productions Ltd., Starbright S.r.l. and Kappa Edizioni S.r.l..


Second important agreement in the Chinese area
 
Rome, 23 April 2014: Mondo TV – active in Italy and abroad in the production and distribution of "cartoons" for TV and theatres – executed an agreement with Nada Anime, a Taiwanese animation studio, for the completion of the animated TV series named "Beast Keeper", made of 52 episodes of 13 minutes each, which was already object of a co-production agreement with the companies Ponpoko Productinos Ltd., Starbright S.r.l. and Kappa Edizioni S.r.l..
 
Further to realizing the animation, Nada Anime will also manage the distribution of the series in Asia in general, with a specific focus on the Chinese market.

The agreement will have a five years duration and provides for the TV exploitation in exclusivity both free and pay, while the right for exploitation on on-demand platforms has been granted without exclusivity.

Rome, 04 April 2014: Mondo TV informs to have executed with Asia Animation Ltd a distribution agreement, whereby Mondo TV is appointed as distributor in Europe, Middle East, Africa, Latin America and Australia for a period of five years of the programs Paula & Friends and World Peacekeepers, on which the leading toy maker M&C Toy Centre Ltd. developed a successful toy line.
 
According to the agreement, Mondo TV will distribute all TV, Home Video, Internet, Mobile and VOD rights in exclusivity, together with the Licensing & Merchandising rights without exclusivity. Furthermore, Mondo TV will be entitled to a minority share on the revenues deriving from the exploitation of the toy line related to the licensed programs in the territories where a TV sale has been secured by Mondo TV.
 
Asia Animation is worldwide agent for distribution of the animated series object of the agreement; the animation was realized by Puzzle Animation Studio Limited which is located in Shenzhen’s Futian District and which produces with over 300 staff approximately 3000 minutes of animation and CG images every year of the highest quality.

Rome, 01 April 2014: Mondo TV informs that its subsidiary Mondo TV Spain has executed with Admazing Interactive LLC, a USA based company, an agreement which provides for the creation of a channel under the mark Mondo TV and named Mondo TV Kids on the platform dalealplay.com, managed by the same Admazing Interactive.
 
By this agreement, the programs of Mondo TV group will be made available in Spanish on the aforesaid platform, through streaming supported by advertising. The channel will be accessible and the content will be available through Internet and mobile technologies in Spain, Unites States of America and Latin America.
 
The agreement sets forth a duration of one year, renewable each year.
 
Technical costs for the management of the channel will be borne by Admazing Interactive, while Mondo TV Spain will take care of the management and uploading of the content on the channel.
 
The parties will share on a 50% basis the advertising income connected with the programs on Mondo TV Kids channel.

Mondo TV executes in Lebanon with Noursat a new license agreement for the exploitation of programs in Arabic language


Rome, 27 March 2014: Mondo TV informs to have executed with Noursat Kids Channel, a a Lebanon based satellite broadcast channel, a new license agreement on certain programs included in the library distributed by the Company. The license agreement grants the nonexclusive right to exploit the licensed programs in Arabic language through satellite transmission and the right to home video sale of the same programs.

GRUPPO MONDO TV: il C.d.A. approva il progetto di bilancio d’esercizio e il bilancio consolidato 2013.


Il CdA decide un impairment di asset legata prevalentemente ai titoli appartenenti alla “old library” e ai crediti ritenuti non più recuperabili per complessivi Euro 12 milioni.
 
La decisione odierna, che si unisce alla politica di riduzione del debito già avviata, pone solidamente le basi di una crescita sostenibile per il gruppo voltando decisamente pagina rispetto al passato.
 
La PFN si attesta ad euro 3,6 milioni, evidenziando un miglioramento rispetto ai 4,1 milioni della chiusura dell’esercizio al 31 dicembre 2012, mentre l’EBIT, al netto delle suddette svalutazioni straordinarie e agli oneri di quotazione della controllata Mondo Tv France, chiude in sostanziale parità rispetto all’anno precedente.
 

 
Dati consolidati 2013: • Valore della Produzione a 12,5 milioni di Euro (16,0 milioni nel 2012)
• EBITDA a 3,5 milioni di Euro (4,4 milioni nel 2012)

Board of Directors approved the three years business plan for 2014-2016


By the new strategy, return to profit is forecasted with dividend distribution already from 2014. At a consolidate level estimates provide for:
 
- Value of production 2014 at around Euros 17,8 million, increasing of 42% respect to 2013, with a growth cumulate rate in the following two years period of around 41%, so to reach a value of production of around Euros 25 million in 2016;
 
- EBITDA in 2014 around Euros 8 million, more than doubled compared to 2013, with a growth cumulate rate in the following two years period of around 74%, so to reach a value of around 14 million in 2016;
- operating result (EBIT) 2014 around Euros 1,8 million (negative in 2013) with a growth cumulate rate in the following two years period higher than 200% so to reach a value of Euros 5,7 million in 2016;
- positive NFP at the end of the three years period.
 
Rome, 25 March 2014: The Board of Directors of Mondo TV S.p.A. – the parent company of the homonymous group operating in Europe in the production and distribution of cartoons for TV and cinema - approved the new three years business plan. The plan includes, further to the economic and financial estimates, the strategic targets of the group and the relevant action plan.
 
Matteo Corradi, CEO of Mondo TV S.p.A., stated: "The approval of the new business plan, jointly with the decision to effect a significant impairment on the library and the credits which are deemed no longer collectable, represents a very important step for the Company and a definitive change respect to the past. Upon the approval of the statements of account as of 31 December 2013, we had to take into account the long-lasting market crisis which has hit some of our competitors, and we have adopted the right decisions to strengthen Mondo TV, both under the accounting side and the industrial profile. We can now look at the future with composure in a project of sustainable growth. In the past years we started a review of the costs which carried to a significant improvement of the NFP; we started with success the penetration into new markets; we implemented a growth project through the production of new series having a strong appeal for licensing & merchandising, while continuing to spend efforts in the exploitation of the so called "old library". Today we need a different approach, made necessary by the further deterioration of the macro-economic scenario: this forced to important devaluation of the less recent products, and the undertaking of new actions aimed at the company's growth such as the strengthening of the structure deputed to sales and acquisition of new properties, both relevant to the audiovisual and merchandising sectors; a reorganization of the production process, in the view of rationalize the related costs; the strengthening of the distribution of third parties products. Through the implementation of this new plan, I expect to overcome the current difficult scenario starting from this year, with the target of generating value for the company and its stakeholders, with a return to dividend distribution already from 2014 and for the following years."
 

 
Strategic targets
 
The strategic targets of the new business plan are:
 
1. Re-launch of the sector of cartoon production through the acquisition of new highly marketable co-productions;
2. Expanding the offering of third parties products, both cartoons and "live action" prodcuts for youth;
3. Consolidate the foreign markets where the company is already positioning, and develop new markets like the Chinese one and more in general that of Eastern Asia, increasing the turnover deriving from such markets;
4. Optimize synergies within the sectors of the licensing & merchandising, for the acquisition of new properties and the sale of products;
5. Reorganize the internal working processes, in particular in the production department, in order to rationalize and get a major cost efficiency.
 

 
Action Plan
 
The group intends to undertake different actions in order to reach the strategic targets and the economic results expected under the new business plan. Such actions can be synthetically resumed in the following action groups:
 
a) Enlarge the panel of possible co-producers, expanding their industrial sector and/or their geographical location;
b) Acquire new properties with a strong appeal for the correlated sectors, aiming at enlarging the so called "new library";
c) Strengthen the structure deputed to acquire distribution rights of third parties products, paying our attention to cartoons, "live action" and products allowing the development of quality licensing & merchandising;
d) Implement a new model of internal working process, in particular with reference to the production department.
 

 
Economic-financial objectives
 
The economic-financial objectives of the new business plan consist of a doubling at consolidated level of the value of production in the next three years; with a percentage EBITDA between 45% and 55% of the value of production; a percentage EBIT between 10% and 23% of the value of production; NFP turning positive. By the new strategy, return to profit is forecasted with dividend distribution already from 2014.

Board of Directors approved the draft of financial statements and the consolidated financial statements for 2013


The Board of directors decided the impairment of assets mainly pertaining to the "old library" and of those credits which are deemed non collectable, for a global amount of Euros 12 million. Today's decision, jointly with the debt reduction of the last years, constitutes the solid basis for a sustainable growth of the group, with a clear step forward compared to the past.
 
The FNP is at Euros 3,6 million, improving respect to the FNP as of 31 December 2012 which was Euros 4,1 million, while EBIT, net of the above referenced extraordinary devaluation and the costs connected with the listing of Mondo TV France, is in line with EBIT of last year.
 
Consolidated data 2013:
 
• Value of production 12,5 million Euros (16,0 million in 2012)
• EBITDA: 3,5 million Euros (4,4 million in 2012)
• Net loss: 7,1 million Euros (profit of 1,5 million in 2012)

Rome, 25 March 2014: The Board of Directors of Mondo TV S.p.A. – the parent company of the homonymous group operating in Europe in the production and distribution of cartoons for TV and cinema - today approved the draft financial statements and the consolidated financial statements for 2013.
 

 
Impairment of the library and credits
The group operated in 2013 in a recession environment, which was characterized in Italy by a loss of 1,9% of the internal gross product and in large part of Europe by economic stagnation. The animation sector was particularly hit by the recession due to the decrease of advertising market which forced the TV broadcasters to significantly reduce their investments. As an effect, the license fees payable by TV broadcasters decreased, and their acquisition approach became strongly selective; in this scenario the acquisition of products with merchandising vocation was privileged by TV broadcasters, thanks to their possibility of attracting advertising investments by the toys and merchandising producers. This tendency was shown mainly in the last quarter of the year 2013, and even more clearly in the month of December, since in such period TV broadcasters spend their residual budget for acquisition and evaluate the advertising income in the subsequent year. For the above reasons, the group encountered a growing difficulty in the closing of sales and in cashing the license fees, except for certain geographical areas like Middle East and Russia where the products distributed by Mondo TV met a substantial interest.
 
In the above scenario, some important international competitors of the group became bankrupt, among which one of the last was Moonscoop. This French company, one of the international leaders in the animation sector, went bankrupt in the second half of 2013, and its entire library was sold by the receiver to third parties for a total value of Euro 0,6 million, significantly lower than the relevant accounting net value. Given that Moonscoop was one of the most important in the sector, the low liquidation price of its library has an indirect effect on the market values of the libraries of all operators, and such circumstance shall be necessarily considered.
 
In the light of the above, the company modified its sales and production strategy, focusing its efforts and investments on new production with high merchandising potential, in coproduction with third parties, and on distribution of third parties' libraries; this model was successfully tested by the parent company in the last two years and the results obtained and forecasted convinced the management to focus on those all the production and commercial efforts and investments.
 
Subsequently, the management analyzed the residual library and effected an impairment of those products which are not coherent with the new strategy and which were more affected by the difficult market environment. Such impairment, equal to Euros 9,4 million, was determined for the above reasons by the strong reduction of future sales estimates of certain products of the library: this reduction was calculated based on the sales result in 2013 and the on the continuance of the economic crisis which does not allow to expect more revenues in the future from such products.
 
The credit devaluation of Euros 2,4 was made upon the deep review of all positions and relate to those clients positions which, due to the economic crisis, do not seem to be collectable.
Consolidated results
 
Documents relating to the shareholders meeting will be made available upon modalities and within the applicable terms under the laws and regulations.
 
Respect to the previous financial year, the revenues decrease of Euros 3,3 million (equal to around 27%) has to be ascribed to the parent company Mondo TV S.p.A., and was mainly caused by the lower number of productions realized in the period. Such lower number of productions (whose revenues amount to Euros 0,5 million in 2013 respect to Euros 3 million in 2012) are mainly due to the circumstance that some co-producers have postponed for 2013 certain projects. A recovery of productions by the parent company is expected in 2014, since further to the productions which are already acquired, a number of new proposals are in place, two of which in an advanced status.
 
Capitalized costs relating to the produced series are equal to Euros 3,7 million in 2013, repsect to Euros 4,0 million in 2012, and are mainly affected by Mondo TV France S.A. and, only in a minor way, by the parent company. Operating costs diminished of Euros 2,6 million (equal to 22%) as an effect of the lower number of productions realized in 2013 respect to 2012 and for the reduction of general and structure costs.
 
Group EBITDA diminished of Euros 1,0 million (equal to 22%) respect to 2012 as an effect of the lower revenues and capitalizations. Amortization, depreciation and provisions were Euros 15,7 million in 2013 compared to Euros 4,4 million in 2012.
 
In the light of the above, operating result is negative for Euros 12,2 million, compared to a positive result of Euros 0,1 million in 2012. Operating result, net of non-recurrent depreciations and of the costs for listing of Mondo TV France, amounting to Euros 0,4 million, would have closed substantially in line with the previous financial year.
 
Net financial charges are equal to Euros 0,4 million, respect to Euros 0,6 million in 2012.
 
Advanced taxes were recorded for Euros 5,5 million, compared to Euros 2,0 million of 2012 as an effect of the registration of deferred taxes which are deemed to be recoupable based on the ten years business plan of the parent company, which estimates a significant improvement of future margins by virtue of the lower prospected amortizations, which were substantially rebated by the impairment effected in the referenced period.
 
The consolidated FNP improves of Euros 0,5 million: debts passed from Euros 4,1 million as of 31 December 2012 to Euros 3,6 million as of 31 December 2013.
 

 
Parent Company results
 
In 2013 the parent company Mondo TV S.p.A. achieved a value of production of approximately Euros 6,6 million (Euros 10,2 million in 2012). The decrease is mainly due to the lower number of realized productions. Such lower number of productions (whose revenues amount to Euros 0,5 million in 2013 respect to Euros 3 million in 2012) are mainly due to the circumstance that some co-producers have postponed for 2013 certain projects. A recovery of productions by the parent company is expected in 2014, since further to the productions which are already acquired, a number of new proposals are in place, two of which in an advanced status.
 
Amortization and depreciation amount to Euros 13,8 million in 2013 compared to Euros 2,8 million in 2012 as a consequence of the effected impairment.
 
EBIT was around Euros -12,4 million, compared to EBIT of Euros 0,6 million in 2012.
 
Net financial charges were around Euros 0,7 million compared to Euros 0,6 million in 2012.
 
Tax assets were positive for Euros 5,5 million, compared to Euros 2,0 million in 2012.
 
As an effect of the above, and taking into account the extraordinary devaluation for a global amount of Euros 11,8 million, t
 
he result is a net loss around Euros 7,6 million, compared to a net profit of Euros 2,0 million in 2012. The Board of Directors decided to propose to the Shareholders' Meeting to cover the losses of the financial year 2013 by using the existing reserves.
 
Business Outlook
 
The financial year 2014 will record a growing turnover and an operating margin going to positive, thanks to the agreements already entered into and to be entered into by the parent company and the controlled company Mondo TV France, the launch of the new series "Drakers" coproduced with Ferrari, the significant decrease of the structure costs and the lower amortization subsequent to the impairment effected in 2013.
 
Statement of the Financial Director The financial director, responsible for the drafting of the company's accounting statements (Mr. Carlo Marchetti) states, pursuant to sect. 154-bis, 2nd paragraph, of Lgs. Decree Nr. 58/1998, that the accounting information included in this communication reflects the results of the accounting documents, books and records.
 

 

 
The Board also approved the corporate governance and remuneration reports.

Calling of shareholders meeting and filing of related documents


Rome, 18 March 2014: Mondo TV S.p.A. informs that the ordinary shareholders meeting has been called today at the company offices in Rome, Via Brenta, 11, for April 29, 2014, 9.00 in the first call and, if necessary, on April 30, 2014, the same time and same place on second call. The meeting is called also with notice published today on the website of the Company and the website of Borsa Italiana and by extract on the newspaper MF as of Wednesday, March 19, 2014. The meeting was called to resolve on the following Agenda:
 
a) Financial Statements for the year ended December 31, 2013, Consolidated Financial Statements at December 31, 2013, Management Report on Operations, Report of the Auditors, Report of the entity in charge of the accounting controls; posting of the result of the year; related and subsequent resolutions;
b) Management report on remuneration in accordance with section 123-ter of Legislative Decree 58/1998;
c) Appointment of the statutory auditors and relevant remuneration.
 
The directors' report on the third item on the agenda has been published and made available to the public at the Company's registered office, on the Company's website and the site of the Italian Stock Exchange with effect from today. Mondo TV executes in the Arab Emirates a new SVOD license agreement with Interactive Media


Rome, 10 March 2014: Mondo TV informs to have executed with Interactive Media, a company based in Dubai (United Arab Emirates) a new license agreement for the exploitation of around 300 half hours of programs of its library in Arabic language through subscription VOD platforms in Saudi Arabia for a period of two years without exclusivity.
 
The agreement provides for a 50% participation by Mondo TV to revenues deriving from the exploitation of the licensed programs, after recoupment of the minimum guarantee due by the licensee.
 
Matteo Corradi, CEO of Mondo TV, stated: “We continue with success our sales effort in the Middle East; this agreement confirms our capacity to sell in single territories and not only through pan-regional agreements, showing the clients’ awareness of our programs in the whole area”.

Mondo TV reaches a preliminary understanding with Dexy Co Kids for the free TV broadcast of Gormiti in former Yugoslavia


Rome, 28 February 2014: Mondo TV announced to have reached with Dexy Co. Kids, a Serbian company leader in the Balkan area for the offer of products to children and youth with business covering both the sectors of audiovisual and licensing & merchandising, a preliminary understanding for the free-TV broadcast and home video distribution of the series Gormiti for a two years period in the ex-Yugoslavian countries.
 
Matteo Corradi, managing director of Mondo TV, stated: “Dexy Co. Kids is the ideal partner for a transaction on Gormiti, because it is able to provide a 360 degrees offer of products for youth in the whole Balkan region. This understanding shall grant the best TV exposure of Gormiti in such area well supporting the licensing and merchandising of such property”.

Mondo TV grants a license to TOEI on the historical Italian dubbing of the animated Japanese TV series Goldrake, Mazinga Z, Great Mazinga and Jeeg Robot


Rome, 25 February 2014: Mondo TV announced to have executed with TOEI Animation Co. Ltd., leading Japanese producer of worldwide successes and owner of the animated TV series Goldrake, Mazinga Z, Great Mazinga and Jeeg Robot, an agreement for the license to TOEI of the exploitation rights on the Italian historical dubbings of the same series, which were already distributed in Italy in the eighties.
 
Mondo TV, owner of the rights on the licensed Italian dubbings, re-starts the exploitation of those products, realized and acquired in the eighties, and closes with this license a high margin agreement, since the costs relating to such dubbings were already completely amortized.
 
Matteo Corradi, managing director of Mondo TV, stated: “This new license with TOEI makes us very happy because it is a significant agreement which acknowledges the high value of the licensed products”.

Mondo TV with Gormiti re-launches its sales in Tunisia through a new license agreement of Free TV rights with Almaz


Rome, 20 February 2014: Mondo TV announced to have entered into its first license agreement with Almaz Productions, Tunisian company of production and distribution of audiovisuals. The new license provides for the right of transmission on free-to-air channels in Tunisia for one year of Gormiti and further programs distributed by Mondo TV.
 
Matteo Corradi, managing director of Mondo TV, stated: “We are happy of this new agreement which opens again the sales in Tunisia of Free TV rights after some years. It is a new target that we have reached, and we hope it will open the path to new licenses in the next future”.

Mondo TV launches some of its programs on POPCORNFLIX in the USA with Screen Media Ventures


The agreement anticipates the first participation of Mondo TV to the New York Toy Fair
 
Rome, 14 February 2014:Mondo TV announced to have entered into a new license agreement with Screen Media Ventures LLC for the distribution in North America through the VOD platform POPCORNFLIX of some programs belonging to Mondo TV’s classic and new library. The platform is available for free to end-users and is entirely supported by the advertising slots sold in connection with the contacts to the licensed programs.
 
The agreement, which will have initial two years duration, provides for a sharing of 50% to all advertising revenues deriving from the distribution of Mondo TV’s programs.
 
The agreement anticipates the participation by Mondo TV to the forthcoming New York Toy Fair which will take place from February 16, to February 19: it is the first time that Mondo TV participates to this fair which, according to Matteo Corradi, Managing Director of Mondo TV, “represents an important meeting place with American producers of products for young people and can be a starting point for new production opportunities for Mondo TV”.

MONDO TV announced to have been appointed by NIPPON as distributor of its library for Middle East and Eastern Europe


Rome, 12 February 2014:Mondo TV S.p.A. announced to have executed a new representation agreement with NIPPON Animation International Co., Ltd., the Japanese leader in the production of animated programs. By this new agreement Mondo TV is granted with the license for audiovisual exploitation by any TV means and Home Video of a number of animated programs belonging to Nippon’s library in Middle East and Eastern Europe for 3 years.
 
Matteo Corradi, CEO of Mondo TV, stated: “We are proud to be partnering with Nippon whose fantastic library will strengthen our position in the emerging markets with further high quality contents. Nippon is a leader in the animation industry, and we are confident to make a great job with their programs in the referenced area.”

Mondo TV enters into a license agreement in Russia with Voxell for the broadcast of some programs in russian on Multimania pay Tv.


Rome, 24 January 2014:Mondo TV informs to have executed with Voxell, a Multimania group company, one of the most important pay tv in the russian area, a new broadcasting agreement of around 50 half hours of programs of its library in russian language for a period of two years without exclusivity.
 
Matteo Corradi, CEO of Mondo TV, stated: “This agreement follows other agreements with this partner, one of our main customers in the strategic russian area, and confirms the interest in this area for our products”.

Mondo TV opens a new way to the Far East by co-producing with the Taiwanese company, Xanthus Studio, a new animated TV series based on a property named “Origami Fighters W”.


Under this first co-production with a company in the Chinese area, Mondo TV will be charged of post-production activities with a share of revenues deriving from the distribution of the Series worldwide
 
Rome, 17th of January 2014:Mondo TV, the Italian leader in the production and distribution of animation, announced to be launching a new co-production with the Taiwanese company Xanthus Studio, of a 3D animated TV series consisting of 52 episodes of 11’ each, based on the property developed and owned by Xanthus Studio, named “Origami Fighters W”, adapted from the bestselling comic book in Taiwanese history and licensed by Ching-Win Publishing company.
 
Mondo TV will be in charge of the post-production activities of the Series, while Xanthus Studio will develop and supply the animation services; the co-producers will share the revenues deriving from all forms of exploitation of the series, inclusive the licensing and merchandising worldwide without time limitation.
 
The production of the series will tentatively be completed by the end of 2015.

We are really happy to be partnering with Xanthus in this project.” Xanthus CEO and director Bruce Yao stated: “We are really happy to have Mondo TV on board of production of Origami Fighters W.” Executive Producer Joe Teng said, “We believe that through our synergies we will build a great product and a huge success from this amazing property.”

Mondo TV enters into a license agreement in Qatar with Al Rayyan for the broadcast of some programs in Arabic in Middle East and North Africa


Rome, 08 January 2014:Mondo TV informs to have executed with Al Rayyan For Media & Marketing Co., a company based in Qatar and operating the satellite channel Al Rayyan transmitted through Arabsat and Nilesat, a new license agreement for the satellite broadcasting of around 115 half hours of programs of its library in Arabic language in Middle East and North Africa for a period of three years without exclusivity.
 
Matteo Corradi, CEO of Mondo TV, stated: “This agreement follows a preceding agreement dated 2011, which is now expired, and confirms the interest in this area for our products”.

Mondo TV enters into its first license agreement with Libya TV for the "free to air" broadcast of some programs in Arabic in various areas


Rome, 7 January 2014: Mondo TV informs to have executed with Libya TV, which transmits in Middle East, North Africa, Europe and North America in English and Arabic, a new license agreement granting the "free to air" and Internet broadcasting rights of some programs of its library in Arabic language. Matteo Corradi, CEO of Mondo TV, stated: "We are very happy to be distributor of such wonderful programs like those of Win Sing, which can enrich our distributed library with further high quality contents."
 
The agreement, which constitutes the first license granted to a Libyan operator, will have a two years duration without exclusivity.
 
Matteo Corradi, CEO of Mondo TV, stated: "We are happy of this new agreement, the first with Libya TV, a channel funded in 2011 and quickly growing. It is an entry agreement which we hope to extend to further programs of our library, in our strategy of consolidating our position in the emerging markets which we intend to continue in the new year".
