Announced to have entered into its first large representation agreements in China for the TV syndication of the library of the Chinese company WIN SING ANIMATION


Rome, 4 December: Mondo TV S.p.A. announced to have executed a new representation agreement with WIN SING ANIMATION, a China based company, subsidiary of the Win Sing Entertainment Group, and leading player in the Chinese content market. By this new agreement Mondo TV is granted with a full right license for audiovisual exploitation of around 380 half hours of animated programs in Europe, Eastern Europe, Middle East, North African Region and North America for 5 years.

Completes a new sale of programs for Pay TV in Nigeria


Rome, 27 November 2013: After the sales for Free TV of some programs to respectively Real Stars TV (communicated on 9 November 2012) and Consolidated Media Associates Ltd. (communicated on 30 October 2013), Mondo TV informs to have executed a new license agreement on certain programs of its library in Nigeria for their exploitation on the pay TV platform named "My TV".
 
Matteo Corradi, CEO of Mondo TV, stated: "The African region is now a growing market in which we can place our programs on multiple platforms and exploitation channels as shown by the number of agreements we closed in such area".

MONDO TV GROUP: The Board of Directors approved the Interim management statement as of 30 September 2013


Consolidated results:
• Value of production EUR 10,1 million (10,3 million in the third quarter 2012)
• EBITDA at EUR 3,8 million (2,4 million in the third quarter 2012)
• EBIT at EUR 0,2 million (1 million in the third quarter 2012)
• Net result of EUR -0,1 million (+0,35 million in the third quarter 2012) with a third quarter in substantial balance
 
Consolidated Net financial position of EUR 2,6 million significantly improving respect to 4,1 million of debts as of 31 December 2012
 
Results of the holding company: • Value of production EUR 5,3 million (7,2 million in the third quarter 2012)
• EBITDA at EUR 1,85 million (2,7 million in the third quarter 2012)
• EBIT at EUR 0,3 million (EUR 1,1 million in the third quarter 2012)
• Net result of EUR -75 thousand (EUR +452 thousand in the third quarter 2012)
 
Rome, 14 November 2013: The Board of Directors of Mondo TV S.p.A. – a company listed in the STAR segment of Borsa Italiana and holding company of a Group working in the production and distribution of cartoons for TV and the cinema – today approved the interim management statement of the Group as of 30 September 2013.
 
Consolidated results for Mondo TV Group
 
The value of production, given by the sum of revenues and capitalizations of series of cartoons produced internally was EUR 10,1 million substantially in line with EUR 10,3 million for the corresponding period in 2012, with a small decrease due to the less productions in the period by the holding company.
 
The gross operating profit (EBITDA) was EUR 3,8 million compared to EUR 2,4 million in the corresponding 2012 period. EBIT came out at EUR 217 thousand compared to EUR 1 million for the corresponding period in 2012.
 
Net result was negative for EUR 136 thousands compared to a positive net result of EUR 350 thousand in the corresponding period 2012.
 
The Group's net financial position as of 30 September 2013 was equal to EUR 2,57 million, significantly improving compared to EUR 4,1 million as of 31 December 2012, with a debts decrease of EUR 1,5 million.
 
Net asset of the Group was approximately EUR 33,5 million.
 
Results of the Parent Company
 
The parent company Mondo TV S.p.A. closed the referenced period with a value of production, given by the sum of revenues and capitalizations of series of cartoons produced internally, of EUR 5,3 million (compared to EUR 7,2 million in the same period in 2012). EBIT was positive for EUR 0,3 million (EUR 1,1 million in the third quarter 2011). Net result for the period was negative by EUR 75 thousand (compared to a positive result of EUR 452 thousand in the third quarter 2012).
 
Significant events occurred in the referenced quarter
 
On 18 July 2013 the controlled company Mondo TV France closed the agreement whereby ZDF Enterprises was engaged as worldwide distributor of the animated TV Series “Marcus Level”, which is currently on production with the French TV operator TF1.
 
In the referenced third quarter, the group’s international development moved forward, in particular in the emerging markets like Russia and Middle East, with a specific focus on the sale of Internet and IP TV rights.
 
Facts occurred after the closing of the referenced period and business outlook
 
The results obtained in the third quarter 2013 are in line with the forecasts of the company. The Group, on the basis of the sales made, the production progress and the importance of the Christmas period for licensing revenues, expects to get the majority of the revenues and margins during the last quarter of the current fiscal year.

Mondo TV consolidates its relationship with Content Union SA with a new license agreement for the distribution in Russia on Detski platform of some new and classic programs


Rome, 05 November 2013: After the extension of the agreement with Top Media Distribution communicated on last 22 October, Mondo TV informs to have executed a new license agreement with Content Union SA, a former client of the Company and operator of the pay-tv channel platform named Detski. This new agreement provides for the broadcast in Russia and CIS of animated TV series belonging to the new and classic library of Mondo TV.
 
Matteo Corradi, CEO of Mondo TV, commented the new agreement as follows: “We are satisfied to have executed this new agreement consolidating our contractual relationship with Content Union, which operates important pay-tv channels in Russia. Mondo TV completes a new library sale for free TV in Nigeria and consolidates its position on the African market


Rome, 22 October 2013: After the sale to Real Stars TV, which was communicated to the market on November 9 2012, Mondo TV informs to have executed a new license agreement on certain programs of its library in Nigeria for the broadcasting on a different Free TV Channel. This new license, which includes around 300 hours of animated TV series and more than 50 hours of animated TV movies, has been executed with the company Consolidated Media Associates Ltd., and authorizes the broadcasting of the licensed programs on the TV channel named “On TV”.
 
The license has a two years duration and provides for a license fee to be paid by licensee of US dollars 100,000.
 
Matteo Corradi, CEO of Mondo TV, stated: “This new agreement is the proof that our strategy aimed at our strengthening in the African market is correct. It is a path on which we are pushing a lot, and our satisfaction is great when we see that our programs, after the first interest and the first licenses, confirm their sale potential in the various territories”.

Mondo TV extends the license to Top Media Distribution for the offer on Megogo, a VOD platform in Russia, CIS and Baltics, of a number of programs of its library


Rome, 22 October 2013: Mondo TV informs to have executed with Top Media Distribution Limited, owner of the VOD digital platform named Megogo, a new agreement for the extension of its license to further programs of the library Mondo TV.
 
After more than one year from the first license, the licensee widens its offer of Mondo TV programs through the platform Megogo in the territories of Russia, CIS and Baltics: the offer includes now more than 700 half hours of Mondo TV's library.
 
The agreements provides for a split of the revenues deriving from the number of views of Mondo TV's programs by the subscribers of the platform.

Rome, 19 September 2013: Mondo TV informs to have executed with IVI LLC, primary operator of video on-demand platforms in Russia, a license agreement for the distribution on its VOD platform in Russia of a number of programs belonging to Mondo TV's library.
 
The agreement is the result of negotiations during the last recent Kiev fair, during which Mondo TV received confirmation of the interest for its programs on the Russian market.

Executed an agreement with UNIVERSAL Music Publishing for the music publishing administration of the music owned by Mondo TV and used in its cartoons worldwide, excluding Italy


The agreement constitutes an important support for the development of Gormiti merchandising in Australia
 
Rome, 16 September 2013:
Mondo TV S.p.A. announced to have closed a general and worldwide administration agreement (excluding Italy) with UNIVERSAL Music Publishing Ltd. relating to the music publishing administration of the rights connected with the exploitation of the music owned by Mondo TV and used in its animated programs distributed worldwide.
 
As to the consideration structure, the agreement provides for an advanced payment, which will be recoupable by UNIVERSAL Music Publishing against the monies to be collected through the administration of Mondo TV's music rights. Upon recoupment of such advanced payment, Mondo TV will be entitled to a share on the royalties collected by UNIVERSAL Music Publishing.
 
Matteo Corradi, CEO of Mondo TV, commented as follows: "This is the first time that Mondo TV enters into an agreement of the kind, and we are proud to have such an important partner as Universal Music Publishing on this deal, which we consider as perfect to rationalize and improve the management of our music rights worldwide. A new license agreement has been executed with Network 10 in Australia for the broadcast of Gormiti


The agreement constitutes an important support for the development of Gormiti merchandising in Australia

Mondo TV S.p.A. announced that after having closed the license agreement with Network 10 for the broadcast in Australia of Dinofroz, as communicated on 2 September 2013, a new license agreement has been executed with Eleven Co PTY Limited, belonging to Network 10, for the broadcast on DTT Free TV also of the Series Gormiti.
 
Also this license for Gormiti will have a duration of three years, and provides for the broadcast of two consecutive runs on Toasted TV, the most successful slot for programs aimed to young male public in Australia.

The license will have a duration of three years, and provides for the broadcast of two consecutive runs on Toasted TV, the most successful slot for programs aimed to young male public in Australia.

Rome, 29 August 2013: Mondo TV S.p.A. announced to have closed an agreement with Media Distribution, a Polish content aggregator on Youtube, for the distribution on such platform in the territory of Poland of the animated programs of Mondo TV's library.
 
The agreement provides for one year license, setting forth a co-participation on the advertising revenues connected with the views of Mondo TV's contents, with a major share for Mondo TV.

New agreement with DIGITAL MINDS for the distribution in Greece, Middle East and Morocco of the library through YOUTUBE


Rome, 28 August 2013: Mondo TV S.p.A. announced to have closed an agreement with DIGITAL MINDS, a Greek actor operating in the field of distribution of digital contents, for the distribution in Greece, Middle East and Morocco of the programs of the so called Mondo TV's "old" library for a period of three years.
 
The license sets forth a sharing of revenues deriving from the exploitation of the library with a majority stake for Mondo TV.
 
Matteo Corradi, CEO of Mondo TV, explained the importance of this agreement as follows: "By this agreement, we receive confirmation of the interest at international level, in particular in emerging countries, for our programs also by digital operators and non-traditional broadcasters. We are following with perseverance the development of these new areas with the aim of rationalizing and monetizing the great chances offered by Internet and the new technologies".

Mondo TV confirms by this new agreement its strategy of expansion abroad which made the Company realize 75% of its value of production outside Italy.

Results of the holding company as of 30 June 2013:

Rome, August 7, 2013: The Board of Directors of Mondo TV S.p.A. – holding company of a Group working in the production and distribution of cartoons for TV and the cinema – today approved the interim financial statement of the Group as of 30 June 2013.
 
Consolidated results for Mondo TV Group
 
The value of production in half year 2013, given by the sum of consolidated revenues and capitalizations of series of cartoons produced internally, was EUR 7,9 million, 9% more compared with approximately EUR 7,2 million in half year 2012. The increase is due to the controlled company Mondo TV France, which delivered in the semester the last 26 episodes of the second season of the animated series Lulu Vroumette accruing revenues for EUR 2,2 million.
 
Consolidated EBITDA increased from EUR 1,8 million in half year 2012 to EUR 3,2 with a total increase of around EUR 1,4 million: the increase of around 81% was due to the completion of the second season of Lulu Vroumette by the controlled company Mondo TV France.
 
As an effect, EBIT - after amortizations, devaluation and reserves for EUR 3,1 million respect to EUR 1,0 million in the same period 2012 - came out positive for EUR 0,1 million respect to EUR 0,75 million in the first semester 2012.
 
In the referenced period, financial charges amounted to EUR 0,24 million, compared with EUR 0,26 million in the first semester 2012.
 
Net profit was negative for EUR 0,15 million, compared to the net profit in the first semester 2012 for EUR 0,26 million.
 
Net Financial Position is negative for EUR 3,3 million, compared to EUR 4,1 million as of 31 December 2012.
 
Results of the Parent Company
 
The parent company Mondo TV S.p.A. closed the first semester 2013 with a value of production of around EUR 3,8 million with a decrease of 23%, compared to around EUR 5 million in the same period in 2012. This negative trend of revenues is due to the lower number of production performed in the referenced period, only partially compensated by the trend of sales of the library.
 
EBIT was approximately EUR 0,1 million, in decrease compared to EUR 0,8 million of first semester 2012. Net financial charges were approximately EUR 0,2 million (EUR 0,3 million compared to half year 2012)
 
Net income for the period was negative by EUR 0,13 million (net profit of EUR 0,34 million in half year 2012 ).
 
Business Outlook and related main risks
 
The production and selling of high quality and licensing oriented library, even of other productors, is going on.
The group is developing a cost reduction strategy started in 2012. There are not main update in the risk exposed in 2012 consolidated financial report.

The African market confirms to be offering growth spaces for Mondo TV
 
Rome, 26 July 2013: Mondo TV informs to have executed an agreement with ZAP – Empresa distribuidora de TV por Satellite, a license agreement for the distribution in Angola and Mozambique of several programs belonging to Mondo TV’s library on its PAY Satellite Platform.
 
ZAP operates a PAY Satellite Platform offering more than 100 channels to the public, and it represents the first operator in Angola and Mozambique as to satellite distribution capacity of programs in Portuguese language.
 
By this new agreement, Mondo TV continues its expansion strategy in the African market which confirms growth spaces for the Company.

New agreement with CPLG - Copyright Promotions Licensing Group and Play Entertainment for the development of the licensing of Angel's Friends


Rome, 15 July 2013: Mondo TV announced that CPLG will be the exclusive agent for merchandise and promotional rights of Angels Friends in Italy. The TV-series Angels Friends is co-produced by Mondo TV, Play Entertainment, and RTI (Mediaset).
 
The new second season of the popular girls TV series Angels Friends will be broadcast on Boing, the kids channel born as a joint venture between Turner Italy and RTI (Mediaset), which represents an ideal window for supporting the licensing of the property on which Mondo TV owns a majority stake.
 
CPLG is already working together with PE to the new Angels Friends style guide which will be launched during next Brand Licensing Europe in London, while Mondo TV continues the distribution worldwide of the audiovisual product.

The controlled company Mondo TV France and the group France Television Distribution launch the pay APP of Lulu Vroumette


Rome, 28 June 2013: Mondo TV announced that Mondo TV France S.A. has informed about the launching of the first APP developed from the successful animated series Lulu Vroumette, co-produced by the same company with France 5. The project has been realized jointly and is co-edited with the group France Television Distribution, which is also co-producer of the series. The agreements provides for a participation of Mondo TV France of 50% in the entire multimedia project for the whole exploitation of the same.
 
The APP, which will be available in France upon a fee payment, will be proposed for multiple platforms and will allow the users also to apply for a prize game made available through the website of France 5, in conjunction with the broadcast of the episodes of the series on the same website.
 
The whole project, further to the direct income that will generate for the controlled company, represents an important initiative for the strengthening of the brand and the confirmation of the commitment of France 5 in the development and distribution of the merchandising based on Lulu Vroumette.

Mondo TV confirms by this new agreement its capability to enter into new markets in the middleeastern area, giving value to its strategy of expansion and primary positioning as content provider in such Region.

Announced to have entered into its first Free TV non-exclusive license agreement in the Arab United Emirates with Sharjah TV


Rome, 29 May 2013: Mondo TV S.p.A. announced to have closed an agreement with ICFLIX Media for the distribution in Middle East of approximately 350 hours of Mondo TV’s library. The agreement grants the right to ICFLIX Media to offer Mondo TV’s programs to its subscribers through its pay web-based platform: it is to be noted that ICFLIX Media is the first player to offer, starting in 2013, online streaming pay services in the middle-eastern area.
 
The three-years non-exclusive license only authorizes the exploitation of the library through subscription services. Mondo TV shall receive a license consideration equal to USD 120.000.
 
Matteo Corradi, CEO of Mondo TV, explained the importance of this agreement as follows: “By this agreement, Mondo TV confirms to be a reference point in the offer of animated programs in the Middle East: we are now able to attract investments even by such new players who face the market with alternative and innovative proposals for such region. This is possible thanks to the attention that Mondo TV drew on the offer of products through different and new platforms: we started seeing the results this year, but the size of our library will still allow us important spaces of exploitation and sale”.

Mondo TV goes on “Youtube” in Russia with Quiz Group


The group forecasts a significant increase of the revenues deriving in the next years from this and further similar platforms in the world with its library
 
Rome, 17 May 2013: Mondo TV S.p.A. announced to have closed an agreement with New Media Consulting Services Inc, a company of Quiz Group, for the distribution on Youtube platform in the territories of Russia, CIS and Baltics of approximately 500 hours of animated programs of Mondo TV’s library, all dubbed in Russian and Ukrainian.
 
The agreement provides for one year license, setting forth a sharing of the advertising revenues connected with the views of Mondo TV’s contents, with a major share for Mondo TV. Mondo TV shall also receive an advance of USD 120.000.
 
Matteo Corradi, CEO of Mondo TV, stated: “Mondo TV always drew great attention to the development of new technologies for catching all related opportunities, but now we believe that the revenues deriving from this new forms of exploitation may be higher than what we originally expected. The time has come for a wider exploitation as it is confirmed by this important agreement with one of the biggest youtube aggregators such as Quiz Group, which records more than 470 million monthly views”.

Rome, May 14, 2013: The Board of Directors of Mondo TV S.p.A. – a company listed in the STAR segment of Borsa Italiana and holding company of a Group working in the production and distribution of cartoons for TV and the cinema – today approved the interim management statement of the Group as of 31 March 2013.
 
Consolidated results for Mondo TV Group
 
The value of production, given by the sum of revenues and capitalizations of series of cartoons produced internally was EUR 3,2 million compared with EUR 3,5 million for the corresponding period in 2012, with a decrease due to the circumstance that by the end of 31 December 2012 the holding company has completed the production of the series Gormiti and Dinofroz and had in the quarter less productions than in the same period 2012.
 
The gross operating profit (EBITDA) was EUR 1,1 million compared to EUR 0,8 million in the corresponding 2012 period. EBIT came out at EUR 0,3 million compared to EUR 0,4 million for the corresponding period in 2012.
 
Net profit was positive for EUR 0,1 million substantially unvaried respect to net profit in the first quarter 2012.
 
The Group's net financial position as of 31 March 2013 was equal to EUR 3,85 million, compared to EUR 4,1 million as of 31 December 2012, with a decrease of EUR 0,25 million.
 
Net asset of the Group was approximately EUR 33,6 million.
 
Results of the Parent Company
 
The parent company Mondo TV S.p.A. closed the referenced period with a value of production, given by the sum of revenues and capitalizations of series of cartoons produced internally, of EUR 2,0 million (compared to EUR 2,4 million in the same period in 2012). EBIT was positive for EUR 0,3 million (EUR 0,5 million in the first quarter 2011). Net income for the period was positive by EUR 0,1 million (EUR 0,2 million in the first quarter 2012).
 
Significant events occurred in the referenced quarter
 
On 31 January 2013, the Board of Directors of Mondo TV S.p.A. started for what was in its competence the procedure for the admission of the shares of the controlled company Mondo TV France S.A. on the stock market "AIM Italia/Mercato Alternativo del Capitale" (hereafter, "AIM Italia") managed by Borsa Italiana S.p.A..
 
The diffusion among the public of the shares was obtained through the free assignment by the holding company Mondo TV S.p.A. to its shareholders of a number of shares representing 25% of the company's capital of Mondo TV France.
 
The transaction was aimed at offering the possibility of: i) giving value to the participation of Mondo TV France, creating value also for the shareholders; ii) giving to Mondo TV France a higher standing for attracting new managers for the future renewal of the top managers of the controlled company, also by way of offering them share options; iii) making easier, in the midterm, the entering of new institutional and/or industrial partners, or in any case making easier the recourse to forms of capitalization for getting new resources where needed to finance possible future extraordinary plans, at present non predictable.
 
On 11 February 2013, the company completed the merger by way incorporation into Mondo TV S.p.A. of the fully owned companies Doro TV Mercandising S.r.l., Mondo TV Distribution S.r.l. and Mondo TV Consumer Products S.r.l.. The merger took effect as of March 1, 2013.
 
The company M.I.M. Mondo Igel Media A.G. was put into liquidation on 29 January 2013, and certain negotiations are being carried out with third parties for the transfer of the relevant participation into MIM's capital.
 
Business Outlook
 
The results obtained in the first quarter 2013 are in line with the forecasts of the company. The Group, on the basis of the sales made, the production progress and the importance of the Christmas period for licensing revenues, expects to get the majority of the revenues and margins during the last quarter of the current fiscal year.<

Mondo TV and Your Family Entertainment launch new partnership / "yourfamily" to broadcast TV classics including The Jungle Book and Robin Hood for the first time


Rome, 08 May 2013: The Italian Mondo TV Group, which produces and distributes children's TV series, and Munich-based Your Family Entertainment AG (YFE) have signed an extensive cooperation agreement.
As of the summer of 2013, YFE's award-winning pay-TV channel "yourfamily" will be broadcasting children's TV classics such as "Robin Hood", "Zorro", "The Jungle Book" and "Simba, The Lion King".
 
"The Mondo TV series perfectly reflect our educational goals and the values we seek to communicate. We are extremely pleased that we can now show our viewers these popular TV classics", said Laurence Robinet, Head of Broadcasting at "yourfamily".
 
In return, Mondo TV will have the distribution rights for popular YFE classic series in many other countries and languages, including on the African continent. MONDO TV GROUP: Mondo TV announced the extension of the co-production with Russian Mobile Television of “Cat Leo”


Rome, 08 May 2013: following to the agreement announced on 24 May 2012 and closed by Mondo TV S.p.A. with the TV operator Russian Mobile Television LLC (“RMT”), for the co-production and distribution of an animated 2D TV series based on the Russian property “Cat Leopold”, to be initially composed of 13 episodes about 13 minutes each, Mondo TV announced now to have closed a further agreement with RMT for the co-production of further 13 episodes of 13 minutes each of the same series. The new agreement sets forth also an option for RMT for the production of further 26 episodes to be developed, produced and completed in the years 2014, 2015 and 2016.
 
The new agreement confirms the role of Mondo TV as executive producer of the cartoons. RMT shall contribute to the budget by paying a portion thereof equal to US dollars 1.014.000 for the first 26 episodes, and a further amount of US dollars 1.014.000 in the event of production of further 26 episodes. Further to the above contribution, Mondo TV will have a share of the revenues deriving from the exploitation of the series worldwide deriving from the exploitation on all media and the distribution of licensing and merchandising. For a period of 5 years after the first broadcast in Russia, Mondo TV will be responsible for TV and home video distribution and, through its Consumer Products division, for the exploitation of licensing and merchandising worldwide (except for Russia and U.S.A.).
 
“Cat Leopold” is a classic property in the Russian animation which, starting from the late 70’s, had a great and continuing success, and presents huge possibilities in the licensing and merchandising sector in the whole region.
 
Mr. Matteo Corradi, Managing Director of Mondo TV, said: “We are satisfied by this new agreement which is a recognition of the good job made up to date on the first 13 episodes. Rome, 29 April 2013: The Shareholders’ meeting of Mondo TV S.p.A. – the parent company of the homonymous group operating in Europe in the production and distribution of cartoons for TV and cinema - today approved the financial statements and the consolidated financial statements for 2012.
 
Parent Company financial statement
 
In 2012 the parent company Mondo TV S.p.A. achieved a value of production of approximately Euros 10,2 million, increasing of +15% compared to around 8,8 million in 2011. The increase is mainly due to the production and sale of the series Dinofroz and Gormiti, the sale of the second season of Grachi to RAI and the sale of Turner’s library in Africa and Middle East (such library is distributed by the Company on an exclusive basis and includes famous titles like Ben Ten).
 
EBIT was around Euros 0,6 million, compared to the negative EBIT of Euros 0,6 million in 2011: the improvement is therefore around Euros 1,2 million.
 
Net financial charges were around Euros -0,6 million (-33% compared to 2011).
 
Tax assets were positive for Euros 2 million, compared to Euros 2,3 million of 2011 as an effect of the registration of deferred taxes which are deemed to be recoupable based on the ten years business plan.
 
As an effect of the above the net profit was around Euros 2,0 million, increasing for +150% compared to Euros 0,8 million in 2011.
 
Consolidated financial statement 2012
 
In 2012 the Mondo TV Group recorded the consolidated value of production (the sum of consolidated revenues and the capitalization of the animated in-house created series) of around Euros 16 million, decreasing compared to Euros 20,1 million in 2011. This decrease was due to the controlled company Mondo TV France, which completed the production of the series Lulù Vroumette and Sharlock Yack in 2011, while in 2012 only delivered 26 episodes (on 52) of the second season of Lulù Vroumette as per the production plan.
 
In 2013 the revenues of the controlled company shall increase by virtue of the completion of the second season of Lulù Vroumette and the delivery of the first episodes of Marcus Level.
 
Group’s EBITDA passed from Euros 9,6 million in 2011 to Euros 4,4 million in 2012 for the same reasons relating to the deliveries by the French controlled company. In 2011 the deliveries of Luù Vroumette and Sherlock Yack determined higher revenues and higher amortization, and thus a higher EBITDA compared to 2012; there was no impact on the EBIT and the net result since the lower consolidated EBITDA is compensated by sales with higher margin at the EBIT level and lower financial charges.
 
In the light of the above, the operating result (EBIT), after amortization, depreciation and provisions showed for Euros 4,4 million (10 million in 2011), resulted positive for Euros 0,1 million, while it was negative for Euros 0,4 million in 2011.
 
In 2012 financial charges were recorded for Euros 0,55 million, compared to 0,74 million in 2011 by virtue of the lower average debt in the period mainly subsequent to the capital increase in April 2012.
 
Tax assets were positive for Euros 2 million, compared to Euros 2,2 million of 2011 as an effect of the registration of deferred taxes which are deemed to be recoupable based on the ten years business plan.
 
Net profit was positive for Euros 1,5 million compared to 1,1 million in 2011 (+36%).
 
Group net assets were approximately Euros 21,1 million as of 31 December 2011 and grew up to Euros 33,9 million. The net financial position was negative for Euros 4,1 million compared to -13,8 million as of 31 December 2011, with a positive improvement of Euros 9,7 million.
 
The improvement is mainly due to the capital increase deliberated on 25 January 2012 for global Euros 11,3 million, which was completed in April 2012 with the subscription of all offered shares. As an effect, subsequent to the capital increase, the company’s capital was increased from Euros 2,2 million up to Euros 13,2 million. The capital increase allowed a significant financial and asset strengthening of the Group, and provided Mondo TV with the resources to continue and increase the growth and the reaching of the industrial plan targets.
 
The Shareholders’ Meeting approved the Board of Directors’ proposal to allocate the net profit entirely to reserves.
 
Business Outlook
 
The Group’s strategy is based on the following pilars:
- Production of titles of high level and high economic potential;
- Internationalization and strengthening of the distribution and sale force;
- Strengthening of the sale channels, like licensing and merchandising Mondo TV in the last two/three years is seeking opportunities for realizing high quality products with a good appeal on the market. For this purpose, the management is contacting different partners which appear most reliable in such respect.
 
Among the series currently in production, Gormiti and Dinofroz and the recently started series “The Drakers” seem to have good chances for the development of related licensing and merchandising.
 
The strengthening of the distribution and sale force improves in the possibility of placing the “old library” in new geographical areas, and the speeding up of the sale of the new series: furthermore, the third parties library was enlarged in connection with animated series and live programs for teen-agers.
 
The expansion in emerging countries continues, thanks to the possibility of distributing high quality series like Gormiti, Dinofroz and The Drakers.
 
Statement of the Financial Director
 
The financial director, responsible for the drafting of the company’s accounting statements (Mr. Carlo Marchetti) states, pursuant to sect. 154-bis, 2nd paragraph, of Lgs. Decree Nr. 58/1998, that the accounting information included in this communication reflects the results of the accounting documents, books and records.
 
The income statement, the balance sheet, the cash flow statement and the net financial position with reference to the consolidated and parent company situation are attached to this press release.
 
The Shareholders’ meeting also gave its favorable opinion pursuant to section 123-ter of Lgs. Decree Nr. 58/1998 on the first part of the Report on the Remuneration which was approved by the Company’s Board of Directors on March, 29 2013.
 
The documents relating to the above decisions are available at the Company’s registered office and can be read on the Company’s website www.mondotv.it. Starting from April 30, 2013 the synthesis of votes is made available on the same website pursuant to section 125-quarter of Lgs. Decree Nr. 58/1998.

The third series "Grachi" licensed to Rai – the deal is estimated to value approximately 10% of turnover 2013


Rome, 18 April 2013: Mondo TV S.p.A. informed that a license agreement was entered into with Rai Cinema for the broadcast in Italy of the third series of the live teen program named “Grachi”. The new series is composed by 50 new episodes of 60 minutes each.
The company continues developing the business of the acquisition and resale of the teen soap operas through the support of the controlled company Mondo TV Spain.
 
It is estimated that the license consideration shall result in approximately 10% of the turnover of the parent company Mondo TV S.p.A..

The meeting is called also with notice published today on the website of the Company and the website of Borsa Italiana and on the newspaper Libero as of Saturday, March 27, 2013. The meeting was called to resolve on the following Agenda:
 
1. Financial Statements for the year ended December 31, 2012, Consolidated Financial Statements at December 31, 2012, Management Report on Operations, Report of the Auditors, Report of the entity in charge of the accounting controls; related and consequent resolutions;

Rome, March 26 2013: Mondo TV informs to have executed its first license agreement with ETABLISSEMENT PUBLIQUE DE TELEVISION for the broadcasting on Free TV in Algeria of around 115 hours of programs belonging to Turner’s library distributed by the Company.
 
This first license, which provides for a consideration of USD 85.850 and authorizes licensee to two runs in the next two years of each licensed program, is a further important step in the positioning of Mondo TV in the North-African market: in this respect it has to be highlighted that the Algerian market, with around 7.000.000 TV households, is the second TV market in Northern-Africa after Egypt (source: DISCOP’s data elaborated by the Company).

Correction of a date in this morning press release on the production of "The Drakers"


Rome, 22 March 2013: Mondo TV informs that the English version of this morning press release, relating to the production of The Drakers, reports the wrong date of 30 June 2014 instead of the correct date of 30 June 2024 (well reported in the Italian version) as the termination date of the worldwide distribution mandate of the audiovisuals by Mondo TV.

The production of "The Drakers" starts


Rome, 22 March 2013: Following to the press release dated 4 October 2012 relating to the agreement executed by and between Ferrari and Mondo TV for the production and distribution upon license of "The Drakers", the animated series dedicated to the youngest and inspired from the world of Ferrari, Mondo TV announces to have executed with the Maranello company the final agreement for the start of the executive production of the series.
 
Mondo TV is engaged in the distribution of the audiovisuals worldwide up to 30 June 2014, and it will benefit of a general agreement up to the end of 2016 for the distribution of the licensing and merchandising developed from the series based intellectual property, the right of Ferrari to work autonomously with its own partner made safe.
 
Looking forward to net MIPTV in coming April, the parties have already defined the final concept on which "The Drakers" will be based. The animated series is entering in the executive production phase so as to start the TV broadcasting of the first episodes in spring 2014.
 
Matteo Corradi, CEO of Mondo TV, declared: "The fantastic feeling with the Ferrari staff has allowed us to develop a series concept which is really exciting us. Mondo TV France admitted to AIM Italia


Rome, 21 March 2013: Following to yesterday press release, Mondo TV S.p.A. informs that the controlled company Mondo TV France has been admitted by Borsa Italiana to AIM Italia.
 
The above admission realizes the condition for the execution of the shareholders' meeting deliberation dated 4 March 2013, according to which the shareholders approved the free assignment by the holding company Mondo TV S.p.A. to its shareholders of a number of shares representing 25% of the company's capital of Mondo TV France at an assignment rate of one share of Mondo TV France for each owned share of Mondo TV S.p.A.
 
The company's capital of Mondo TV France is equal to Euros 1.100.000 constituted by 105.699.312 shares without indication of their nominal value. It is hereby reminded that the company's capital of Mondo TV S.p.A. is equal to Euros 13.212.414 constituted by 26.424.828 shares with nominal value of Euros 0,50 each.
 
The shares of Mondo TV France to be assigned are therefore 26.424.828. The shares will be assigned at a value of Euros 0,11353 each for a global distributed value of Euros 3,000,000; for such purposes a portion of the share premium reserve shall be utilized. Since at the date of 31 January 2013, the participation of 100% of Mondo TV France shares is registered in Mondo TV accounts at Euros 1,000,000, as an effect of the above distribution the net equity of the holding company will be reduced of Euros 250,000.
 
The voucher representing the free assigned shares will be numbered under 5, and will be assigned on 25 March 2013 through all intermediaries authorized within Monte Titoli system.
 
The above completes the procedure for the admission on AIM Italia of Mondo TV France shares, whose negotiations shall start on 25 March 2013. The admission document containing a more deepen analysis of Mondo TV France is made available in accordance with the rules of the AIM Italia regulations on the website fr.mondotvgroup.com, AIM Italia section.
 
It is reminded that Mondo TV France is assisted by Banca Finnat Euramerica S.p.A. which operates as Nominated Adviser.

Update on the process for the admission tomondo tv france AIM Italia of Mondo TV France


Rome, 20 March 2013: Following to the press release dated 18 March 2013, whereby it was communicated that the request for the admission to AIM Italia of Mondo TV France had been filed with Borsa Italiana, Mondo TV S.p.A. informs that pursuant to the AIM Regulations it is expected that the admission by Borsa Italiana will be obtained tomorrow, 21 March 2013.
 
The above admission realizes the condition for the execution of the shareholders' meeting deliberation dated 4 March 2013, according to which the shareholders approved the free assignment by the holding company Mondo TV S.p.A. to its shareholders of a number of shares representing 25% of the company's capital of Mondo TV France at an assignment rate of one share of Mondo TV France for each owned share of Mondo TV S.p.A.
 
The company's capital of Mondo TV France is equal to Euros 1.100.000 constituted by 105.699.312 shares without indication of their nominal value. It is hereby reminded that the company's capital of Mondo TV S.p.A. is equal to Euros 13.212.414 constituted by 26.424.828 shares with nominal value of Euros 0,50 each.
 
The shares of Mondo TV France to be assigned are therefore 26.424.828. The shares will be assigned at a value of Euros 0,11353 each for a global distributed value of Euros 3,000,000; for such purposes a portion of the share premium reserve shall be utilized. The diffusion of the shares among the public will be obtained through the free assignment by the holding company Mondo TV S.p.A. to its shareholders of a number of shares representing 25% of the company's capital of Mondo TV France.
 
Rome, 18 March 2013: Following to the press release dated 5 March 2013, whereby it was communicated that the request for the pre-admission to AIM Italia of Mondo TV France had been filed with Borsa Italiana, it now notified that in the evening of Friday 15 March, the controlled company filed the request for admission in accordance with section 5 of the AIM Italia Regulation for Companies.
 
The request was filed with the assistance of Banca Finnat Euramerica S.p.A. which operates as Nominated Adviser of Mondo TV France.
 
The diffusion of the shares among the public, for the purposes of the admission, will be obtained through the free assignment by the holding company Mondo TV S.p.A. to its shareholders of a number of shares representing 25% of the company's capital of Mondo TV France.
 
The request is part of the procedure for the admission to AIM Italia of the French controlled company, as it was announced in the preceding press releases as of respectively 31 January, 20 February , 4 and 5 March 2013, where it is possible to find more details on the transaction.

Rome, 6 March 2013: Mondo TV announced to have executed its first license agreement on IPTV rights with OHTV, a primary Internet TV operator based in UK for UK and Africa on a non exclusive basis for different religious titles of Mondo TV library.
 
By this agreement, Mondo TV confirms the growing trend within the Internet market that become an important source of revenues in future.

The request is part of the procedure for the admission to AIM Italia of the French controlled company as announced in the preceding press releases as of respectively 31 January, 20 February and 4 March 2013 where it is possible to find more details on the transaction.

The Shareholders meeting of Mondo TV S.p.A. approved the distribution of a portion of the share premium reserve through the free assignment of a number of shares representing 25% of Mondo TV France company's capital in view of the admission of the same to AIM Italia.


Dividend Yeald equal to around 17% based on the closing price of Mondo TV's title as of Friday March 1, 2013.
 
Rome, 4 March 2013: Today the shareholders meeting of Mondo TV S.p.A. took the decisions required to make available the share premium reserve for the distribution in kind of a portion of the same reserve through the assignment of a number of shares representing 25% of Mondo TV France S.A. (the "Controlled Company") company's capital: the shareholders' meeting further approved such distribution conditioning it upon the admission to AIM Italia of Mondo TV France by Borsa Italiana S.p.A..
 
The distribution shall consist in the free assignment by the holding company Mondo TV S.p.A. to its shareholders of a number of shares representing 25% of Mondo TV France company's capital with an assignment rate of one share of Mondo TV France for each share of Mondo TV S.p.A..
 
The distribution is aimed at allowing a sufficient diffusion of the shares of the Controlled Company in the process for its admission to AIM Italia as announced on 31 January 2013 (the "Admission Process").
 
The shares shall be assigned at a value of Euros 0,11353 each for a global distributed value of Euros 3,000,000 utilizing a portion of the share premium reserve.
 
Subject to Mondo TV France being admitted to AIM Italia, the voucher representing the free assigned shares will be likely issued in the second half of March 2013. The exact date shll be communicated by a subsequent notice to be published on the websites of Mondo TV S.p.A. and Borsa Italiana S.p.A. as well as on a national newspaper.
 
As an update of the press release issued on 20 February 2013, taking into account the closing price of Mondo TV S.p.A. shares at 1 March 2013 the dividend yield results equal to around 17%.
 
The decisions taken today are a further important step of the Admission Process and follow the transformation of the Controlled Company from "S.A.S.U. – Société Anonyme Simplifié" into a "S.A. – Société Anonyme" and the adoption of the statute and governance changes as announced on 20 February 2013; the perfection of the transformation and the subsequent solution of the sole proprietorship has been obtained through the transfer to some managers of the group of a number of shares of the Controlled Company equal to around 0,3% of its capital.
 
In the light of the above, and in partial modification of the press release issued on 31 January 2013, upon the admission to AIM Italia, the shareholding structure of Mondo TV France will result as follows:

It is confirmed that in the transaction, Mondo TV S.p.A. is assisted by Banca Finnat Euramerica S.p.A. as advisor.
 
As already communicated on 31 January 2013, the transaction should offer the possibility of: I) giving value to the participation of Mondo TV France, creating value also for the shareholders; II) giving to Mondo TV France a higher standing for attracting new managers for the future renewal of the top managers of the controlled company, also by way of offering them share options; III) making easier, in the mid-term, the entering of new institutional and/or industrial partners, or in any case making easier the recourse to forms of capitalization for getting new resources where needed to finance possible future extraordinary plans, at present non predictable. The choice of AIM Italia is grounded on the circumstance that it is the market of Borsa Italiana devoted to the Italian small and medium enterprises, which wish to invest in their growth; it offers to small and medium companies the possibility to access in an efficient manner a selected public of investors focused on small caps and is conceived for offering a faster and more flexible procedure to listing. On ground of such characteristics, such market is considered as the most adequate environment to properly value Mondo TV France since the company's profile and its market positiong appear ideal for such market.
 
It is hereby eventually confirmed that a more deepen analysis of Mondo TV France will be made available through the admission document which will be drafted and published in accordance with the rules of the AIM Italia regulations.

Follow-up of the preparatory activities for the admission of Mondo TV France on AIM Italia.


The Shareholders’ general meeting of Mondo TV France approved the required company and statute modifications to allow the diffusion of the company’s shares to Mondo TV S.p.A. shareholders as communicated on 31 January 2013. The updated dividend yield based on today closing price of Mondo TV's is around 17%.
 
The Shareholders’ general meeting of Mondo TV France also appointed the new board of directors.
 
Rome, 20 February 2013: following-up to the communication released on 31 January 2013 whereby the company announced the start of the procedure for the admission of Mondo TV France on the market AIM Italia, and for the purposes thereof, today the shareholders’ general meeting of Mondo TV France approved the transformation of the company from “société anonyme simplifié” into “société anonyme”, a form which is fit under French law to the admission on AIM Italia.
 
The shareholders’ general meeting also approved the new statute so to align it to the Regulation for Companies admitted to AIM Italia by way of voluntary introduction of such rules which are deemed necessary to be applied as an effect of the admission to said market, in particular the decisions necessary to allow the diffusion of its shares to the shareholders of Mondo TV S.p.A..
 
As an update of what was communicated on 31 January 2013, it is highlighted that the dividend yield based on today closing price of Mondo TV's is around 17%. The shareholders’ general meeting also appointed the new Board of Directors which will remain in charge until the date of the shareholders’ general meeting approving accounts as of 31 December 2016: the new Board of Directors is composed by Matteo Corradi, President, Eve baron Charlton, Managing Director, Carlo Marchetti, Director, and Fabrizio Balassone, Independent Director in accordance with section 147-ter of Legislative Decree 58/1998.
 
It is further reminded that a deepener analysis of Mondo TV France will be made available through the admission document which will be drafted and published in accordance with the rules of the AIM Italia regulations.

Rome, 05 February 2013: following to what already communicated in connection with the above reverenced transaction, Mondo TV informs to have executed the deed of merger by way of incorporation into the same Mondo TV S.p.A. of the fully owned controlled Italian companies Mondo TV Consumer Products S.r.l., Doro TV Merchandising S.r.l. e Mondo Distribution S.r.l..
 
The merger shall become effective on March 1, 2013 for all civil, tax and accounting effects.

MONDO TV S.P.A. announced to have entered into two new representation agreements for the TV syndication of Jelly Jam and Wild Grinders in the MENA Region


Today Mondo TV S.p.A. announced to have executed two new representation agreement with respectively Vodka Capital, owner of the property and related series “Jelly Jam”, and Home Plate Entertainment, owner of the property and related series “Wild Grinders”, for the TV syndication of their respective most successful TV series in the Middle East and North African Region (“MENA”).
 
The two agreements are a positive effect of the huge work made and good results reached by the company in the MENA Region, and by enriching the library distributed by Mondo TV they will even more strengthen the position of the company in such a growing market.

The Board of Directors approved on its side the start of the procedure aimed to the admission of the French controlled company Mondo TV France to the AIM Italian market.


The diffusion of the shares among the public will be obtained through the free assignment by the holding company Mondo TV S.p.A. to its shareholders of a number of shares representing 25% of the company's capital of Mondo TV France.
 
Dividend Yeald equal to 18% based on today closing price of Mondo TV's title.
 
Rome, 31 January, 2013: Today the Board of Directors of Mondo TV S.p.A. deliberated to call its shareholders' meeting on the 4 March 2013 in first call, and 11 March 2013 in second call, in order to allow the shareholders meeting to take the decisions aimed at distributing the shares of Mondo TV France with the scope of allowing their diffusion to the public for the admission of the controlled company to AIM Italia.
 
The decision is based on the fact that the French controlled company is willing to proceed to the request to Borsa Italiana S.p.A. for admission to AIM Italia. The Board has given mandate to theManaging Director, Matteo Corradi, granting him the powers to act in the name and on behalf of Mondo TV S.p.A., sole shareholder of Mondo TV France, for taking any necessary and preparatory decision for the formal start of the admission procedure by the French controlled company.
 
The diffusion among the public of the shares will be obtained through the free assignment by the holding company Mondo TV S.p.A. to its shareholders of a number of shares representing 25% of the company's capital of Mondo TV France. Since at the date of 31 January 2013, the participation of 100% of Mondo TV France shares is registered in Mondo TV accounts at Euros 1,000,000, as an effect of the above distribution the net equity of the holding company will be reduced of Euros 250,000.
 
The diffusion of the shares should take place with an assignment rate of one share of Mondo TV France for each share of Mondo TV S.p.A.. The shares should be assigned at a value of Euros 0,11353 each (equal to the normal value for tax purposes of the shares as determined by an independent expert engaged for this purposes by Mondo TV S.p.A.) for a global distributed value of Euros 3,000,000.
 
Such free assignment shall be made by Mondo TV in kind, utilizing a portion of the share premium reserve, after recoupment of all losses carried forward and reconstitution of the legal reserve.
 
Considering that the distribution will affect a portion of the share premium reserve, the operation has ex se no direct tax effect for the assignees.
 
The operation should offer the possibility of: I) giving value to the participation of Mondo TV France, creating value also for the shareholders; II) giving to Mondo TV France a higher standing for attracting new managers for the future renewal of the top managers of the controlled company, also by way of offering them share options; III) making easier, in the mid term, the entering of new institutional and/or industrial partners, or in any case making easier the recourse to forms of capitalization for getting new resources where needed to finance possible future extraordinary plans, at present non predictable. Considering that the shareholder structure of Mondo TV S.p.A. is as follows:

In any case the above assignment is conditioned upon the admission to AIM Italia by Borsa Italiana S.p.A. of Mondo TV France shares.
 
All the above considered and taking into account the closing price of Mondo TV S.p.A. shares at 31 January 2013, equal to Euros 0.631, the dividend yield results equal to 18%.
 
Mondo TV France
 
Mondo TV France was incorporated in March 2006 with the scope of producing high quality animated TV series in partnership with the main French and European TV chains. At present, Mondo TV France can boast of important productions with primary groups like France Televisions, ZDF and TF1, which are sold worldwide.
 
Notwithstanding the circumstance that the business sector is very close to the holding company, by developing a different business model compared to the one of Mondo TV S.p.A. also thanks to the significant experience and know-how of the French company's managing director, Eve Baron, the company is distinguished by a strong autonomy from the holding company.
 
A more deepen analysis of Mondo TV France will be made available through the admission document which will be drafted and published in accordance with the rules of the AIM Italia regulations. It shall be highlighted that for the operation an information prospectus is not required pursuant to section 100 of Legislative Decree 58/1998 and section 34-ter, litt. c), of Consob regulation Nr. 11971 of 14 May 1999.

Rome, 24 January 2013: Mondo TV announced to have executed its first license agreement with TV MIRAMAR, the African channel of the Brazilian TV group Record Comercial for the broadcast of an initial bulk of around 10 programs among the classic and new library of Mondo TV.
 
By this agreement, Mondo TV confirms the growing trend within the African market.

New deal with Lagardère Group for broadcast of 'Gormiti' on Gulli and Canal J in France


Rome, 2 January 2013: Mondo TV has concluded a new agreement with Lagardère Group for the broadcast rights to the French version of their new animated TV series Gormiti on Gulli and Canal J Channels.
 
Aimed at boys aged 6 to 11, the 26x26' series will debut on Gulli in 2013. This new deal completes the sale in all European countries of the TV series Gormiti and will give strong support to the toy and merchandising development and marketing.
