MONDO TV: New agreement with the public TV of the Sultanate of Oman


Revenues in the Middle Eastern and Asian Region +261% compared to 2011
 
Rome, 20 December, 2012: Mondo TV announced to have executed a new license agreement with the public TV of the Sultanate of Oman for the TV broadcast of audiovisual products distributed by the Group.
 
This new agreement is a further step in the Group’s strategy aimed at strengthening its position in the Middle Eastern and Asian countries and confirms also in the second semester 2012 the important activity already carried out by the Group in such Region starting from the first six months of this year, during which the Group registered a growth of 261% of the revenues in the Middle Eastern and Asiatic area as reported in the Interim Report as of 30 June 2012.

MONDO TV sells Dinofroz in Spain to the national free Channel TVE
 
Rome, 13 December, 2012: Mondo TV announced to have reached an agreement with CORPORACION RADIO TELEVISION ESPAÑOLA, S.A.U., operating the national Spanish TV Channels, which will broadcast Dinofroz in Spain starting from February 2013.
 
This is an important agreement for the support of the licensing and merchandising business of the products derived from the property Dinofroz. This agreement confirms again the potential of this property which is capable to raise the interest also from national players such as Corporacion Radio Television Española.

Toy Triangle to take Modhesh global


Rome, 22 November, 2012: Mondo TV S.p.A. announced that Toy Triangle, the largest toy distributor in the Middle East and North Africa ("MENA") region, which among others represents properties as diverse as Ben 10, Barbie, Ninja Turtles, Power Rangers, Hello Kitty, Tom and Jerry, Spongebob, Shaun the sheep, Barney, Dora will be the toy distributor of a new and extensive range of toys to be developed from "Modhesh". The character will be now subject of a TV series co-produced by Mondo TV with the governmental agency Dubai Events and Promotions Establishment. Toy Triangle will directly distribute the wide range of toys line in the MENA region initially, before extending the products to a global audience.

approved the interim management statement as of 30 September 2012: consolidated net income increased of 75% to 0,35 million, net income of the holding company increased of 150% to 0,5 million, Net Financial Position improved to -3,1 million compared to -13,8 million as of 31 December 2011


Rome, November 14, 2012: The Board of Directors of Mondo TV S.p.A. – a company listed in the STAR segment of Borsa Italiana and holding company of a Group working in the production and distribution of cartoons for TV and the cinema – today approved the interim management statement of the Group as of 30 September 2012.
 
Results of the Parent Company
 
The parent company Mondo TV S.p.A. closed the first nine months of 2012 with a value of production increasing to EUR 7,2 million compared to EUR 6,2 million in the first nine months in 2011. EBIT was positive for EUR 1,1 million compared to 0,8 million at September 2011. Net income for the period was positive by EUR 0,5 million, more than doubled compared to EUR 0,2 million in the same period 2011.
 
As to the results of the holding company in the referenced quarter, the value of production was EUR 2,2 million against EUR 2,0 million in the same period 2011; EBITDA resulted equal to EUR 0,8 million and increased compared to EUR 0,4 million in the third quarter 2011 as the EBIT which increased to EUR 0,3 million compared to the balanced result in the same period 2011. In the third quarter 2012 the holding company reported a net income of EUR 0,1 million against a loss of EUR 0,1 million in the compared quarter.
 
Consolidated results in the first nine months
 
The value of production, given by the sum of revenues and capitalizations of series of cartoons produced internally was EUR 10,3 million compared with EUR 15,3 million for the corresponding period in 2011, with a decrease due to the controlled company Mondo TV France, which did not deliver any episode of the new series as per the relevant production plan, whilst in the same period of 2011 it delivered episodes of both Lulu Vroumette and Sherlock Yack. In the current fiscal year, approximately half of the episodes of the second season of the series Lulu Vroumette will be delivered in the fourth quarter, during which the majority of the revenues and EBITDA shall be concentrated, both for the controlled company and the holding company.
 
As an effect of the above, the gross operating profit (EBITDA) was EUR 2,4 million compared to EUR 7,5 million in the corresponding 2011 period. EBIT came out at EUR 1,0 million unvaried respect to EUR 1,0 million for the corresponding period in 2011.
 
Net income is positive for EUR 0,35 million compared to a net income of EUR 0,2 million in the first nine months 2011.
 
The Group's net financial position as of 30 September 2012 is equal to EUR -3,1 million, compared to EUR -13,8 million as of 31 December 2011, with a decrease of EUR 10,7 million by virtue of the capital increase of EUR 11,3 million approved by the extraordinary shareholders' meeting on 25 January 2012, which was completed during the month of April 2012 with its entire subscription.
 
As of 30 September 2012, the net equity of the group is approximately EUR 33 million.
 
Consolidated results in the third quarter
 
In the third quarter 2012, Mondo TV Group registered a consolidated value of production equal to EUR 3,1 million in decrease (-27%) compared to EUR 4,3 million in the corresponding quarter 2011.
 
Consolidated EBITDA was positive for EUR 0,6 million in decrease of 69% compared to EUR 2,0 million in the period July-September 2011.
 
Group's EBIT resulted equal to EUR 0,3 million, increasing compared to EUR 0,2 million in the third quarter 2011.
 
Significant events occurred in the third quarter 2012 and relevant effects on the financial and economic position
 
Mondo TV S.p.A. executed on July 2012 a license agreement with Turner Broadcasting for the broadcast in more than 130 countries among Europe, Middle East and Africa (EMEA) of the new animated series "Gormiti", co-produced by Mondo TV with Giochi Preziosi and currently on air on networks of Turner Broadcasting in Italy, Spain and Greece. Gormiti will have full TV coverage in the whole EMEA region with its launch in 2013 on Cartoon Network in all further countries. The relevant mandate shall have a three years duration.
 
In the month of September an agreement was executed with Dubai Events and Promotion Establishment for the co-production and distribution of a series based on the property "Modhesh" very well known and beloved in the Arab world.
 
Business Outlook
 
The results obtained in the first nine months 2012 are in line with the forecasts of the company. The Group, on the basis of the sales made, the production progress and the importance of the Christmas period for licensing revenues, expects to get the majority of the revenues and margins during the last quarter of the current fiscal year.

Rome, November 9, 2012: Mondo TV announced to have executed a license agreement with Real Stars TV, an emerging operator on the digital terrestrial in Nigeria for the broadcast of around 200 hours of programs among the classic and new library of Mondo TV.
 
It is the amplest agreement which Mondo TV executed after the negotiations started during the last DISCOP AFRICA fair, to which Mondo TV actively participates and through which the company is strengthening its position in a fast evolving market thanks to the continuous widening of the TV offer by numerous emerging projects like Real Stars TV. The African market confirms to offer to Mondo TV, also thanks to the positioning it already gained, interesting growth potential in the whole region.

This agreement confirms the potential of this property, also in new regions and markets for Mondo TV.

MONDO TV on the path to the Far East: executed an agreement with Mediacorp for TV rights in Singapore


Rome, 29 October, 2012: Mondo TV announced to have executed an important license agreement with MediaCorp PTE Ltd, Singapore’s leading media company with the most complete range of platforms, spanning television, radio, newspapers, magazines, movies, digital and out-of-home media, which has acquired the Pay TV and VOD rights on a total of 345 half hour episodes and 41 TV movies of Mondo TV’s classic and new library.
 
This is the hugest agreement ever signed by Mondo TV in Singapore and it may represent an important step in the attempt of the Group to expand in new regions and markets such as the Far East: according to MediaCorp, it pioneered the development of Singapore’s broadcasting industry, with the broadcast of Radio in 1936 and Television in 1963. Today, MediaCorp has over 50 products and brands in four languages (English, Mandarin, Malay and Tamil), and is aimed at becoming Asia’s top media company. MediaCorp announced in September a 7.5 per cent rise in operating profit to $44.4 million for the year ended 31 March 2012.

First agreement with the public TV of Abu Dhabi


Rome, 25 October 2012: Mondo TV announced to have executed an important license agreement on some programs of its classic library with the public TV of Abu Dhabi, which can broadcast such programs through satellite in the whole Middle East region, reaching [at least 5] millions of households.
 
This is the first agreement with the Abu Dhabi TV and it follows the execution with Turner of the representation agreement of Turner's products in the Middle East, announced on 12 January 2012, the more recent co-production agreement of Modhesh with a governmental agency of Dubai, announced on 19 September 2012.
 
By this new agreement, Mondo TV strengthens its position in an area which, showing an increasing interest for the activities of the group, reveals to become strategic for the development of new important partnership and the starting up of new projects.

Replies to the news published by ANSA relating to the judicial proceeding pending against the minority shareholders of Moviemax Italia S.r.l.


The management of the company considers the claim groundless and is evaluating possible actions against the actors
 
Rome, 23 October 2012: with reference to the recent news published by ANSA relating to the judicial proceeding pending against the minority shareholders of Moviemax Italia S.r.l., Mondo TV S.p.A. highlights that the judgment of the Milan Court referenced in the news relates only to some procedural exceptions and it does not contain any decision on the merit of the case, in contrast with the tenor of the news which seem to imply the contrary. The company informs that the Court adjourned the first hearing to the 19 February 2013 for the review of the requests by the parties for the means of prove.
 
Recalling its communication issued on 3 May 2011, Mondo TV confirms its, and Messrs. Orlando and Matteo Corradi's irrelevance to the facts of the case, and it highlights that the selfsame Mondo TV, Mr. Orlando Corradi and Mr. Matteo Corradi took formally part to the proceedings claiming the rejections of the actors' actions and claiming for their condemnation for temerarious action.
 
Therefore, Mondo TV confirms to consider absolutely low the risk of a condemnation to the claims of the actors, considering that its managing bodies, in particular the President Mr. Orlando Corradi never operated any managing activity, even less illegitimate, with Moviemax Italia and Mondo Home Entertainment S.p.A..
 
Furthermore, Mondo TV is evaluating any adequate civil or criminal action for the protection of its reputation and name as well as for the protection of its shareholders against Messrs. Rudolph Gentile and Marco Dell'Utri, son of Senator Dell'Utri, on the assumption that the above referenced judicial action, as well as the publishing by ANSA of partial communications may damage the interests and rights of Mondo TV and its directors and seem to be part of a number of actions brought in the last years by Messrs. Rudolph Gentile and Marco Dell'Utri against, among others, Mondo TV, Orlando Corradi and Matteo Corradi, with doubtful ground and creating clear interference.

Matteo Corradi appointed new Managing Director, Orlando Corradi holds his office as President

Rome, 19 October 2012: The Board of Directors of Mondo TV S.p.A. – leader in Italy in the production and distribution of cartoons – in the afternoon appointed Matteo Corradi as Managing Director of the company with immediate effect. The decision is following the resignation from the same office by Mr. Orlando Corradi, who formalized today his decision already planned. The Board of Directors further confirmed the roles and responsibilities already assigned to the other directors during the board meeting on 14 May 2012.
 
Orlando Corradi, who was in charge in the offices of President and Managing Director since the date of the listing on the stock exchange market, will hold his current position of President of the group.
 
Matteo Corradi, 38 years old, son of Orlando, who has been operating in the group from ever was also Sole Director of some of the controlled companies. The new Managing Director has been taking roles of increasing responsibilities inside the Group in the operational, administrative and financial fields side by side with Orlando Corradi. Furthermore, Matteo Corradi had been head of international sales of Mondo TV and Investor Relator, role that he keeps holding.
 
Matteo Corradi said: "I am very proud to receive the trust of the Directors and the shareholders and to take over this new prestigious role which renews my commitment and represents a new professional challenge".
 
Orlando Corradi, majority shareholder of Mondo TV, keeps holding the 59.178% of the company's capital.

Approval of the merger by incorporation into Mondo TV S.p.A.of the fully owned companies Doro TV Merchandising S.r.l., Mondo TV Consumer Products S.r.l. and Mondo Distribution S.r.l.

Rome, 19 October 2012: The Board of Directors of Mondo TV S.p.A. – leader in Italy in the production and distribution of cartoons– today approved the merger by way of incorporation into Mondo TV S.p.A. of the fully owned companies Doro TV Merchandising S.r.l., Mondo TV Consumer Products S.r.l. and Mondo Distribution S.r.l., pursuant to section 18 of the company's articles of association and section 2505 of the Civil Code. The merger, which was detailed in the merger project approved and made available on 29 August 2012, has been also approved today by the competent bodies of the controlled companies.
 
The merger will allow Mondo TV S.p.A. to manage with higher coordination and more effectively the correlated activites by way of creation of internal departments without losing the resources, the know-how and assets developed by the subsidiaries being merged. At the same time, the merger will result in a reduction of corporate costs which are replicated without adequate financial benefits or business requirements.
 
Mondo TV will also be responsible of the TV and home video distribution of the series worldwide for a period of 10 years, as with the first series.
 
Meeting the conditions set forth by section 2505 of the Civil Code, it was not required to determine an exchange ratio of the shares or the modalities for assignment of the shares. Mondo TV S.p.A. will not modify its company's capital on ground of the merger, and therefore the shareholding of Mondo TV will not be affected. The merger does not constitute cause for withdrawal by the shareholders. A more detailed description of the transaction is contained in the previous press release and documents made available to the public at the legal office of the company, its website and with Borsa Italiana on 29 August 2012."

"GORMITI" grows and becomes a 52 episodes series: Mondo TV and Giochi Preziosi have executed the final agreement for the production of further 26 episodes


Rome, 4 October 2012: Mondo TV Group, active in Italy and abroad in the production and distribution of "cartoons" for TV and cinema, and Giochi Preziosi S.p.A., leader in Italy and one of the world leaders in the toy industry, following up the preliminary understandings announced in October last year, today announced to have reached the final agreement for the production of further 26 episodes of 26 minutes each of the 3D CGI series "Gormiti".
 
For continuity to the first series, whose first episodes are at present on air in Italy on Cartoon Network, and Boing and soon on Italia 1, as well as on Star TV in Greece, Mondo TV will be responsible for the executive production under the direction of Orlando Corradi, President and CEO of the Group, on the basis of the storyline and scripts that will be realized by the US company Man of Action. The confirmation of the production and creative team is strongly grounded in the resounding audience ratings from the very beginning of the programming of the first series, which have immediately set Gormiti CGI as one of the most beloved and followed cartoons by children even on the first days of its TV debut.
 
Mondo TV will also be responsible of the TV and home video distribution of the series worldwide for a period of 10 years, as with the first series.

Mondo TV partners with Entertainment One to bring Puppy in my Pocket to North America


Rome, 5 October 2012: Mondo TV and Entertainment One ("eOne") are pleased to announce that they have closed a license agreement for the exploitation of home entertainment and digital rights to the hugely popular animated series Puppy in My Pocket – Adventures in Pocketville in the North American market.
 
"We are very happy to have Entertainment One on board the Puppy in my Pocket project," said Matteo Corradi, head of sales of Mondo TV. "We feel that they are the best partner to boost the series on the DVD sector in such an important market as the North America."
 
Currently airing twice daily (M-F) on Cartoon Network's Boomerang Channel in the USA, the series, co-produced by Mondo TV, MEG and Giochi Preziosi, is based on the enormously popular pocket-sized toys from MEG and has been acquired by more than 130 countries. Beginning this Fall, US-based Jakks Pacific will distribute a new toy line that will feature collectible figures, accessories, play sets and plush. Scholastic is also on board as the official US publishing partner.
 
eOne is planning a mid-2013 DVD launch for the property.

Mondo TV in partnership with Ferrari for the production of a new 2D animated TV series


The series will be produced aimed at being on air in Italy starting from Autumn 2013
 
Rome, 4 October 2012: Mondo TV and Ferrari have reached an agreement for the production and distribution on license of a new 2D animated TV series in high definition, entitled "The Drakers", targeted to the young public and inspired from the Ferrari world.
 
The Drakers will debut at MIPCOM in Cannes with a 120" Promo the incoming week, whilst the whole series will be composed of 26 episodes about 26 minutes each. Airing of the Series in Italy is forecast starting from Autumn 2013.
 
Mondo TV will be the executive producer of the cartoon and will also be responsible of the TV and home video distribution worldwide, with a share on the revenues deriving from the TV and Home Video exploitation as well as from the merchandising connected with the new series.

MONDO TV VENTURES INTO MIDDLE EAST WITH PLANNED ANIMATION SERIES FOR A POPULAR CHARACTER 'MODHESH' SIGNS AGREEMENT WITH DUBAI EVENTS AND PROMOTIONS ESTABLISHMENT


Rome, 17 September 2012: Mondo TV S.p.A. today signed an agreement with Dubai Events and Promotions Establishment (DEPE), an agency of the Department of Economic Development in Dubai, United Arab Emirates, for the co-production and distribution of an animated TV series based on the popular cartoon character 'Modhesh'.
 
The first-ever Modhesh animated series will be composed of 26 2D episodes, each episode spanning minutes. It is the first time that Mondo TV S.p.A. has ventured into making an animated series in the Middle East and it is also the first time that Modhesh will have a presence on television. The series will be funded by both entities with a sharing of worldwide licensing and distribution revenues of the series and its merchandising. According to the agreement, Mondo TV will own worldwide distribution and licensing rights for a term of 5 years.
 
Share of revenue will be based on relevant distribution territories. Initially created as a 'jack-in-the-box' in a TV advertising campaign to promote the region's most successful and biggest summer event – Dubai Summer Surprises, Modhesh was created by DEPE in year 2000.
 
In 2001, Modhesh took his current form with a full body and two feet and has come to stay as an icon character for summer fun and is loved by millions across the Middle East.

Modhesh means 'amazing' in the Arabic language and the character was first revealed in the year 2000 through a television advertisement for Dubai Summer Surprises as a jack-in-the-box. The following year, Modhesh took on his current form. Over 1000 Modhesh products are currently available across UAE and the Middle East. Modhesh also lends his name to Modhesh World – the largest indoor edutainment venue in the Middle East. The venue attracts around 500,000 visitors over a span of 70 days each year.

MONDO TV: APPOINTED TO DISTRIBUTE TURNER’S KIDS LIBRARY IN THE MIDDLE EAST and NORTH AFRICA


Rome, 21 January 2012: Mondo TV S.p.A. has been appointed by Turner Broadcasting System Europe Limited as the exclusive agent and representative for free TV and pay TV broadcast rights sales of Turner’s kids library programmes (including Ben 10) in key markets across the Middle East and North Africa for the next three years.
 
The agreement entitles Mondo TV to sub-license in first instance a total of around 581 programming hours, which include the worldwide successful series and TV movies such as Ben 10 and Generator Rex.
 
Mr. Orlando Corradi, CEO at MONDO TV, says: "Mondo TV is very satisfied by this deal which will allow our company to further expand in the Middle East TV market by representing one of the most interesting library of cartoon series which include some of the most famous and successful properties worldwide like Ben 10 and Generator Rex”.
